� A R�SOLUTION OF TH� TOWN COUNCIL OF THE TOWN OF TIBURON
PROVIDING A LUMP-SUM RET�NTION INC�NTIVE TO THE TOWN NIANAG�R
AND APNROVING TH� FOURTH AMI',NDM�NT TO TOWN MANAG�R'S
EMPLOYM�NT AGR�I:MENT
WHEREAS, on December 22, 2016, the Town Council approved a contract for the employmellt
of Gregoiy Cl�a�lis to the position of Town Manager ("Manager's Agi•eement"); and
WHEREAS, on Februai-y ]. 2017, the Town Council entered into a Fiist Ameildment to the
Town Mana�er's Employment Agreelnent ("Fii•st An7ei�dment"); and
WHEREAS, on Marell2 l, 2018; the Town Council entered into a Second Anlendment to the
Town Manager's En�ployu7ent A�reement ("Second Amendment"); and
WHEREAS, on Jw1e 5. 2019, the Town Council entered i�zto a Third Anlendment to the Towi�
Manager•'s En�ployment ngreement ("Third Amendment"); and
WHEREAS, the Town Cow�cil conducted the Town Managei•'s performance evaluation on June
3, 2020; and
WHER�AS, the Town's policy is to offei-compensation packages that are competitivE with
similar employers for sin�ilar positions so as to maintain the highest quality staff to serve the
public. After com}�leting t1�E Town Manager's annual review, the Couneil has decided to modify
the Manager's Ag1-eement and compensation as set forth in the Fourth Amendment to Town
Manager's Enlployment Agreement attached l�ereto and incoiporated herein.
NOW, THER�FORE, BE IT R�SOLVF,D by tl�e Council of the Town of Tiburon as follows:
Section 1. Payable on the first regular payroll following adoption of tl�is Resolution. tl�e
Town Manager sl�al] i�eceive a Ilunp-sum retention incentive of$2,990 (subject to applicable
payroll taxes).
Section 2. Payable followring adoption of this Resolution, the Town Manager sl�all i-eceive a
one time lump-sum employer contribution of$5_000 to a Town-sponsored tax-deferi•ed
retireinent }�lan, and hereby authorizes the Ma��or to sign tlie attached Fotu�tl� Ainendment to
Town Manager's ErnploymenC A��eement.
PASSED AND ADOPTF,D at a regular illeeting of the Town Council on Jtu1e 17, 2020, by the
following vote:
