BACKGROUND
7"he voters of Marin Counry ��pi�oved the authorization of�Measw-e AA on Nove»�ber 6, 20l 8.
The measure includes funcling for the T�1M Safe Pathways to Schools Progra»� which funds
constructio�� projects that mal:e the con�mute to school safer. Fundinb i��ay eover enbineerin��and
construction of path���ay, sidc��-alk. and street cro�sing satety ii��provements. The progi-am
eo��sists of t���o cate�7ories of pi�ojects: large projects ($400,000 i��aximum fundinb request) antl
small projects ($50.000 maximum fundii��� reque�t).
In June 2019 'I�AM issued Measure nA Sate Path�vays to Schools �1-ant f�u�ding call for projects.
�l�he Safe Routes to Schools (SR2S) Tasl< Force has identified Del Mar Middle School as their�#I
Priority i-o�- improvements that mal<e tl�e commutc to school safer. The Tasl< Force retai��ed Parisi
�I'ra��sportatio�� Consultin�� to help identify tl�ose locations o'f worl< ai�d develop preliminary
engineeri��g plans. �I�he pro_ject listed belo��� was submitted by Town staff and was selectcd and
approved for fundii��� bv the �I��AM Board on Oct�iber 24, 2019:

The SR2S ��rant probram is inte��ded to fund pro,jects t�hat ei�courage children to �vall: a��d bicycle
to school. �This grant will fully fund thc design ai�d physical impi-ovements associated with this
project. The preliminary cnbineering plai�s include new signlge, new crossvall: stripin�. and
improvin�� sidewallc ramps. The desibn will tal<e place during the siui�mer of 2020 with
consCruction to follow in the sim�mer of2021. A detailed preliminarv description of the physical

FINANCIAL IMYACT
This Project is funded entirely by the brant with no local match rec�uired. Tl�erefore. there is no
f'inancial Impact to the Town fiunds.

A ne��� Capital ]mprovement Project (C1P) will be created for the FY20/21 bud��et ��%ith the
followin�� planned e�penditures:
1. $68.000 will be pro��rammed for FY20/21.

Town stafif I�as made a prelimina�y determination that this Project wo��ld be exempt ti-om the
provisioi�s o1�the California Ei�vironmental Q�iality Act (CEQA) as speci�ed in Section 15301
Class 1 Existii��z Facilities, a��d Section 15304 Class 4 Minor Altei-atio��s to Land. The Project
involves minor alteration ol�existing streets; sidewallcs, g�itters, bicycle and pedcstrian trails, and
similar faciliti�s. �I�I�e tinal determinatioi� will be made at a fiiture date whei� tl�e Project desi�n is
complete.
RECOMIVT�NDATION
Staff recommends that the Towi� Council:
i. Adopt the Resolution (�shibit 3)to Accept the Measure AA Safe Pathways to School
Grant.

SECTION l. RECI'TALS
i. 7'i�e voters ot Marin Co�inty approved t�he autl�orization of N"teasure AA at General Elect�ions held
� on Novemb�r 6, 2018 thereby authorizing that TAM be given the responsibility to administer the
proceeds from a one-half cent trans�ction and usc tax.
: 2. The Measw�e �1n St�ategic Plan �vas developed to provide guiclance on implementing the
Measure AA Expenditure Plan.
3. The Measw�e nn Sh-ategic Plan programs Melsure AA funds over a 30-year period to the fo�u�
categories listed in the E�penditure Plan, including Categoiy 2.2 for large safe pathway projects and
Category 3.3 for small safc pathway projects.
4. Safe Pathways to Schools Projeets are capita) projects aimed at mal<ing physical improvements to
enhance the safety oFschool h�ips.
� 5. Three cycles of S�lfe Patl�way fw�ding �-vere allocatecl in 2007, 2010, and 2015.
6. TAM iss�ied a �ourth C��cle Sa�fe Path�vay Call for Pr�ojects �tnd received small anci large
applications for funding.

assistance of an Evaluation Committee and the Marin Public Worl:s Association (MPWA).

SECTION 2. PURPOSI: OF FUNDING AGR�GMENT
This AGREEMEN"l� is entereci into by ancl het�veen TAM and RECIPIENT to doeument the f�u�ding
conditions necessa��y for the RECIPIENT ti� comply with applicable law and TF1M policies. This

SEC"1'lON 4. GRANT
TAM hereby grant�s to the RGCIPIENT the sum of $400,000.00 in Measure AA tunds ("Fl_�NDS") as
designated in Resolution No. 2019-17, approved October 24, 2019, ��vhich is incllid�d in this
AGREEMENT� by i�eference as Exhibit B.
SrCT10N 5. COST ELIGI131LITY
Cosl eligibility shall be determined by TAM's Strategic Plan policies. nll costs incin-red by RLCIPI�NT
�rior To t�he date of executioi� of this AGREEMENT shall be ineli��ible f�or reimbursement by "T�M.
While the costs af the PRO.IECT shall be eligible for reimbursement in accordance �uith the terms of t�his
AGRTEMENT, the timing and amoui�t of reii��bwsei��ent will bc subject to a reimbursement schedule
identitied in Exhibit A, based on available revenues, other anticipated project requests, and project
catego�y ancl subcatego�y limits established in Che St�rategic Plan and Expendit�u�e Plan. Any waiver of

SECTION 6. BUDG�T AND SCOP�
RECIPIENT shall i��aintain a project or progr�am budget. RI,CIPILNT shall can•�� out the E�roject and
shall incur oblibations against and �r�alce disbwsements of the �rant in conformitv with TAM's
requireinents and t'he budget. The project or program budget may be revised from time to time through
the subi��ission of� revised buclget to 'I'AM.
RECIPI�N"T may noi� make any changes to the scope of the PROJEC"1� �-vithout prior �-vritten approval of
TAM. �lpproval by TAM of a cl�ange of scope shall not constitute an increase in the ��rant amount unless
additional fiinds are spccifically provided.
SI:CTION 7. PI20JECT MANAGEM�NT
RECIPIENT shall be responsible for the project and provide inai�a��ement of consultant ai�d contractor
activities for �vhich RECIPIENT contracts, including responsibility for schedule, scope. and budget,
consistent with TAM's resolution allocating the grant unless other���ise a��reed upon in �,vriting.
SGCTION 8. PROJECT OVERSIGI�IT

S[?CT10N I 1. COMPLIANCG W1TH LA��V
In the performance of its obli�ations p�irsuant to this AGREEMENT, RECIPIENT shall I<eep itself fully
informed of the federal, state and local laws, ordinances and regulations in ai�y manner affectinb the
performance of this AGREEMENT, and must at all times comply with such laws, ordinances, and
regulations as they may be amended �fi�om time to time.
� SECTION 12. �NViRONI�IGNTAL COM1'LIANCC
RLCIPIENT sh�ll undertal:e all environmental mitigation measures that may be identil�iecl as
commitments in applicable documents (such as environmental assessments, environmental impact
statements and reports. and memoranda of agreement) and comply with any conditions imposed as a part
. of a �finding of no significant impact or a record of decision; all such mitigation ineas�u�es �re incoi�porated
in this AGREF:MENT by reference. Recipient shall be responsible �for obtaininb all necessar��
en��ironmental permits for performance of worl:.
� SECTION 13. FiNANCGS
All costs charged to the PRO?EC"T shall be supporCed by properly prepared and docui�iented tiine records.

period of three (3) years aiter the later of project closeout or Cermination of grant. Such project

SECTION 15. RGIM[3URSEMGNTS
Payment shall be made by TAM for costs reimbursable under the terms of this AGREEMENT and
inetiu�reci prior to Yhe termination date of this AGREGMENT. Payi��ent to RECIPIENT of the granC shall �
be upoi� written approval by "I�AM. upon submittal by RECIPI�NT of appropriate supporC documentatio��
and icienti�fication of expenses incurrecl.
Reimbursement�s shall not exceed the schedule sho��m ii� the Reimbw�sement Schedule idei�titied ii�
Exhibit� A. RECIPIENT may i��al:e a request for exceptions in writing. Exceptions may be made at the
sole discretion of TAM.
Each reimblu�sei��ei�t request shall include RECIPIENT'S certificatio�� that the a���ow�t's sought are only
for project elements included in Eshibit A_ and that R�CIPIENT is in compliance with TAM's
requirements mentioned in this AGREEMENT.
S�CTION l6. GLIGlI3LG CXPrNSGS
RECIPIENT shall eapend FUNDS onl�� on eligible expenses as f'ollows: operating costs, direct staff tiil�e
(sala�y and benefits), consultants: ri��ht o1'way engineering and acquisitioi� costs (including permitting),
and competitively bici coi�struction contracts. Indirect costs (as defined by OMB Cireular A-87) will not
be considered an eligible expense. 1=UNDS shall also be expended according to the applicable provisions
aTthe Expenditure Plan and of the Public Utilities Code Section 180000 et seq.
SECTION 17. AUUITS
TAM reserves the right at any time to conduct or require a financial or performance audit of the
RECIPIENT'S compliance with this AGREFMENT. TAM will give adva��ce notice of the z�equirement.
RECIPIENT shall permit T�M. or ai�y oi� its dul;� authorized i•eprese»tatives, to inspect all work,
�7�aterials, payrolls. and other dat�i and records �vith re��ard to the PROJECT, and to audit the bool<s,
records, and accounts of the KECIPIEN"T and its coi�tract��rs with regard to the PROJECT.
SGCT[ON l8. THIRD PARTY CONTRACT AUDITS
TAM reserves the right to request an audit of other third-party contiracts for any reason. If R�CIYIENT
is subject to third parry tinancial audit requirements im}�osed by another funding soiu�ce, copies of
audits performed in fulfillmei�t of such requirements shall be provided to the TAM.
SGCTION 19. CLOSGOUT PROCEUURLS AND PROJECT CLOS�OUT RrPORT
Project closeout occurs either ���hen �1��1M notilies REC1PlENT ol�the project closeout or forwards to
RECIPIENT the tinal grant pa�m�nt. RECIPIEN"I- shall provide to TAM a Project Closeout Report as
shown in Fxhibit C ���ith the final reimbursement request.
Upon request by TAM or cliscovei�y by RECIPILNT. atter the project completioi� date or terminatio�� by
TAM, RECIPIENT shall submit a certitied financial staiement identifying all ii�eligible e�penditw�es.
���hich the RECIPIENT shall be required to refund. as ���ell as third party audit repo��ts, as applicable.
Project closeout shall not termin�te any continuin« obli�,ations imposed on the RECIPIENT by this
AGREEMENT. Final reimbursement �vill be in acc<�rdance with TAM policies and procedlu�es.
RECIPIENT shall provide su�porting documentation for e�penditures and revenl�es from its accounting
�i�d f�inancial management system.

S�CTION 21. RIGH"I'TO WITI-IHOLD
If a Pr�oject Closeout Report is not provided to TAM by tl�e project closeout date and/or such iteins are
found not to be in compliance U�ith this AGREEMEN7`, Public Utilities Cocie Section I 80000 et sea.. the
ballot measure or the Strategic Plan, TAM inay withhold FUNDS tl-om RF.,CIPlEN1' until RECIPIENT
!ias corrected any noTed deficiencies to TAM's satisfactioi:. While FUNDS are bein�� se ��vithheld all
interest on ��ithheld FUNDS shall be retained by TAM as an administrative fee.
SGCTION 22. RESCISSION OF AUTHORIZATION OF �UNDS
TAM reserves the right to rescind its authorization of that portion of the grant FUNDS that are unneeded
prior to, or at the time of, proj�ct closeout. FUNDS are determined to be unneeded if they are
� uncommitted at t�ime of project closeout. Uncommitted f�inds are FUNDS that have been authorized but
� are in exces; of that total eligibl� eosts incurred by RECIPILNT.
� SECTION 23. TF,RMINATION FOR CAUSE
L;xcept as provided by Section 24 below, RECIPIENT agrees that, upon ten (10) worl<ing days �-vritten
not�ice, �I'AM may suspend or terminate all or part o�f'the financial assistance provided herein for failure to
correct a breach of tl�is AGR�EMENT. Any failure to make reasonable progress, inconsistency with the
Expendit�u�e Pian or Meas�u�e AA Sales Tax Pi-ogram Safe Pathw��� Project Ii�tiori��ation Sheet,
� unauthorized use of grant FUNDS as specified in this AGREEMENT, or other violation of the
AGREEMLNT that signi�ficantly endange�s subst�ntial perf�onnance of the PROJECT shall be deemed to
be a breach of this AGREEMENT and cause for terminaCion. Upon mutual consent, RECIPIENT will
reE�ay "I�AM any unexpended FUNDS already distributeci.
SECTION 24. CORRECTION OF BREACH
Not��ithstanding the provision of Section 23 above, with respect to an�� breach, �-vhich is reasonably
capable of heii�g c�u�ed, RECIPIEN"I' shall have thirty (30) days from the date of notice of bre�ch t�o
initiate ste�>> to cure. [f RECIPIENT diligently purs�ies cure, such RECIPILNT shall be allowed a
reasonable time to cure or by a time establishecl in writing by TAM.
SECTION 25. LIABILITY
Neither TA'v] nor any offiicer or employee thereof, shall be responsible for a��y damage or IiabiliCy
occurrin�� b� reason of anything done or omitted to be done by RECIPIENT under or in connection with
any ��vorl:, authority, or jurisdiction deleg�ted to RECIPIENT under this AGREEMEN���. It is also
understood and agreed that pursuanT to Government Code Section 895.�. RI��CIPIENT shall �fully defend,
inde�»nify ancl hold TAM harmless from any liability imposecl for injur�, (as defined bv Government
Code Section 8]0.8) occurri��g by i�eason of a�rything done or omitted to be done by RECIPIEN7� undee or
in connecti��n �vith any work, or jurisdiction delegated to RECIPIENT under this AGREEMENT.

liabilitv occurring by reason of anythin� done or omitted to be done by TAM under or in connection

In the event o'f concurrent negli��ence of RECIPIENT and TnM, tl�e liability for any and all claims ior
injuries or damages to persons and/or property shall be apportionecl w�der the California theory of
comparative negli�ence as presently est�blished or as may hereafter be�nodified.
SGCTION 26. OBl,1GAT10NS
TAM agrecs that any eligible cost incurrecl by RECIPIENT prior to the teri7�ination of this AGREEMENT
shall be reimb�u�seci to the extent that such costs could not be avoided by RECIPIENT upon receipt of
noticc oftermination.
SECTION 27. iNTI,CRATION
This AGREEMENT i�epresents the e��tir� AGR�EMENT of The }�acties with respect to the subject matter
thereof. No representations, �varrai�t�ies. inducements or oral agreements have been �r�ade by any of the
parties e�cept as ezpressly set forth herein, or in other conte���poraneous written agreemei�ts.
SECTION 28. AMGNllMI:NT
Except as other���ise provided herein. this AGREEMENT may not be changed, modi�fied or rescinded
except in �-vritin��. si��ned by all parties hereto, and any atte�npt at oral modification of tl�is AGREEMLNT
shall be void and of no effect.
SGCTION 29. INllGPGNDENT AGENCY
RECIPIGNT perfiorms the terms and conditions of this AGREEMEN"�T as an e��tity independent of TAM.
Noi�e of RLCIPIENT'S agents or emplo��ees shall be agents or employees of TAM.
SECTION 30. ASSICNMGNT

express ���ritten consent of the other part��.
SGCTION 31. I3INDING ON SUCCI�:SSORS, ASSIGNGGS OR TRANSFGREGS

RECIPIENT as ma�� be the case. l-I�i> provision shall not bE construed as an authorization to assi;�n.

SGCTION 32. I��PrNSES
Each party shall be solely responsible for and shall b�ar all of its own respective legal expenses ii�
connection �vith an� dispute arisin��, otu of this AGREEMENT and the Cransactions hereby contei��plated.
RECIPIEN"I� ma�� not use ��rant FUNI�S. or other TAM programmecl fw�ds, for the aforementioned
purpose.

SECTION 33. SGVERA[31L1"TY
� Should any part of this AGRGEMENT be declared unconstitiitional. invalid. or beyond the aiithority of
either party to enter into or carry o�it, such clecisions shall not aftect the validity oi�the remaincler of this
� AGREEMENT, which shall continue in full f�orce ancl effect; provided th�it the remainder of this
�GREEMENT can, absent the excised portioi�, be reasonablv interpreted to give efFect to the intentions
of Che parties.

SUMMARY
The State Controller deposits various porlions of the Senate Bill l Road Repair and
Accountability Act (SB1) Funds into a Road Maintenai�ce and Rehabilitation Accolznt(RMRA).
A pel-centage ofthese funds are to be apportioi�ed by formula to elibible cities and eou»ties
pursuant to Sti•eets and Higi�ways Code (SHC) Section 2032(h) intended for basic road
maintenance, rehabilitation, and critical safety projects on t�he local streets and road systems. In
order to receive these funds, the Town must a�u�ually adopt a list of Projects to be funded�by �
SB 1/RMRA Funds.
12ECOMMENDED ACTION(S)
1. Adopt a IZesolution to save all the SB 1/RMRA tunds, estiinated at $176,819 fo1•Fiscal
Year 2020-2021, and allocate them in the Fiscal Year 2021-22 Capital lmp��ove�ment
Plan bi►dget to fund the 2022 Pavement Maint�nance and Rehabilitation Project at the
locations identitied in the Resolution.
13ACKGROUND
Se��ate Bill 1 (SB 1), the Road Rcpair and Accountabilit�� Act oi�2017 (Chapt�er 5, Statl�tes of
2017), �vas passed by the Le�islature a��c1 si«ned into la�v bv tl�e Governor in April 2017. It
provides additional funds for roadway maintenance.
In the upcomii�g Fiscal Year 2020-21 the predicted revenue to the To�-�n is estimated at $176;819.
These fiinds are �nticipated to be allocated b}� the State in equal montl�l}� payments.
One of the reporting require���ents is for the Towi� Council to pass and adopt a Resolution on a
�-ecuri-in�� annlial basis tl�at aliocates e�penditure of the received fu��ds to specific projects. Last
year, the To�vn Cou��cil passed and adopted Resolution No. 13-2019 (I�:xhibit 1) allocating
$I 59,690 in SB 1 revenues from Fiscal Year 2019-20 to fiuid construction of the 2020 Various
Streets Pavement Rehabilitation and Ha�vthoi-i�e Under<�rounding Projccts. A new resolution is

� �-equired for the upcomin�� fiscal year with �n updated list o'f pro,jects for which SB 1 tiu�dii�� will
be allocated. The Resolution is �ttached as �Yhibit 2.
AN�ILYSIS
The actual amount of fundin�� to bc received is �incertain and depends on consta��tly changing
� factors, such as the price of gasolii�e and the qua��tities purehased by the public. All the received
SB 1 fundi��g �-vill be allocated to�vards the construction of the 2022 Pavement Maintenance and
� Rehabilitation Project that is anticip�ted to be��in in the s�ui�mer of 2021. Desi�n is anticipated to
bebin i�� the Fall of 2020.

Tl�e Council is bein� asi<ed to select 1-2 cou��cil�neir�bers to attend a Cha�nber of Commei-ce
spo��sored ���eeting to discuss formation of a tasl< force focused on improving the busii�ess
enviro��ment i�l Tiburon.
�RTCOMIVIENDED ACTION(S)
1. Consider selecting 1-2 Councilmembers to attend a Chamber of Commerce sponsor�ed
n�eeting to discuss tormation of a tasl< force fociised on short- and long-tern� strategics
for impf-ovin� the business environinent in Tiburon.
l3ACKGROUND
At a special i��eetin�� of the To����n Council on April 10, councilmembers received a presentat�ion
regardinb i-esou�-ces available to both residents �nd husinesses durii�b the etu-rent COVID-19
crisis. This included a presentation by DeAnn Biss, Executive Director of the Tib�n�on Peninsula
Chamber of Commerce (COC). As part of the presentation_ it was proposed that a Tasl< Force be
formed to study and develop short- and lon�-term stratebies to improve the business environi��ent
in Tib�u�on.
The fii�al compositioi� of a tasl< force has ��ot been deteri��ined. howevei�, the COC is worl<i��g to
schedule ai� initial meeti��g of a �-vorl<ing broup to more fully develop the idea and has requested
the Tow�� Coui�cil a}�poii�t 1-2 councilmembers to attend this meetin�. In addition, they have
req��ested the To�-vi� Mai�ager attei�d the m�eting. �
