20 Uefendant and Cross-Complainant Town of Tiburon (the "Town") hereby accepts the
21 offer to compromise made by Plaintiff and Cross-Defendant Ghilotti Bros., Inc. ("Plaintiff')
22 which includes the following terms:
23 1. The Town to pay the total sum of F..ighty-One Thousand One Hundred Eleven
24 Dollars ($81,111.00) to Plaintiff. Payment shall be made to Plaintiff within twenty (20) days of
2S acceptance of the offer.
26 2. The Town waives and releases all claims; demands, liabilities, costs, attorney's

� fees, damages, and causes of action a�ainst Plaintiff, and any of its insurers, respective 6oard
2 members, directors, officers, employees, consultants, representatives or agents, for losses,
3 tiabilities, damages, claims or compensation within the scope of the pleadings of this action.
4 3. Except for the payment under Paragraph 1, Plaintiff waives and releases all
5 claims, demands, liabilities, costs, attorney's fees, damages, and causes of action against the
6 Town, and any of its insurers, respective board members, directors, of#icers, employees,
� consultants, representatives or agents, for losses, liabilities, damages, claims or compensation
g within the scope of the pleadings of this action.
9 4. Plaintiff shail file a dismissai with prejudice or satisfaction oP judgment in the
10 action entitled Ghilotti Bros., Inc. v. Town of 7'ihuron, et al., Marin County Superior Court Case
� � No CIV2003478 (the "Action") within fourteen (]4) days of receipt of the payment from the
1� Town.
13 S. The Town shali file a dismissal of its cross-complaint with pi•ejudice in the Actioti
�4 within five(5) days of receipt of a dismissal from Plaintiff.
�5 6. Each party waives the right to recovet- costs, expert fees, and attarney's fees from
16 the other party; thus, the offer is inclusive of intei•est, fees and costs, so that no further amounts
1� rnay be included in any award or judgment.
1 g 7. If this offer is accepted within the time specified, Plaintiff may file this offer with
19 written notice of acceptance of its terms, and the Clerk of the above-entitled Court is authorized
2p to enter a dismissal in accordance with the above terms. A form Notice of Aeceptance
21 accompanies this offer for the Town's use.
22 8. If the Town fails to pay the foregoing sum ($81,1 l 1.00) within 20 days after
23 accepting the offer, the judge in the Action shail enter a judgment against tlle Town for that
24 amount,with such amount to be reduced by any payment received by Plaintiff fi•om the Town
