AGREEMENT
THIS AGREEMENT is entered into between the CITY
OF TIBURON, a I44unicipal corporation (hereinafter called "City" ) ,
and FREDERICK G. ZELTNSKY and JUANITA ZELINSKY Trust (herein-
after called "Zelinsky") .
WHEREAS , on July 11 , 1977 , the City Council of
the CITY OF TIBU�,ON, adopted the "Fred Zelinsky ' s Master
Plan and Total Developable Area" , consisting of one sheet ,
datec? May 23, 1977, attached hereto as Exhibit "A" , and
incorporated herein , prepared by Van Bourg, Makamura, Karney ,
Inc. ; and
WHEREAS , said approval and adoption is
contained in Ordinance No. 137 ; and
WHEREAS, said Ordinance No . 187 contains but
is not limited to the following requirements :
l . "G. That provisions acceptable to
the City for the preservation without
development of the remainding undeveloped
lands owned by Mr. Zelinsky shall be made
and recorded in a manner acceptable to
the City Attorney prior to the issuance
of any building permit . "

2 . "H. All parking spaces shown on the
Master Plan , except those shown in the Area
No . 5 shall be installed prior to the
issuance of a building permit for each
respective area and that the parking spaces
shown in Area No . 5 , all of which shall be
provided at no charge to the user, shall
be installed at such time as the City
Council so directs ; the Precise Plan shall
contain appropriate bonding assurances to
provide for such installation. Prior to
the issuance of a building permit , covenants
satisfactory to the City Attorney shall be
recorded as required by Section 13 of the
Zoning Ordinance . "
WHEREAS , on November 16 , 1977, the City Council
of the CITY OF TIBURON, by Resolution No. 956 , approved the
precise development plan of the Fred Zelinsky Master Plan ;
and
WHEREAS , said resolution No . 956 contains , but
is not limited to , the following requirements :
l . "No . 10 . That all of the parking
shown on the Master Plan on new building
sites shall be provided free of charge
for the users of the building during
business hours, and no barrier shall be
erected across the ingress or egress
of any of these parking areas, such
parkirig to be installed as specified in
Ordinance No. 187 N . S . "
2 . "No . 16 . That provisions acceptable
to the City for preservation without
building development of the remaining
undeveloped land owned by n�r . Zelinsky
shall be made and recorded in a manner
acceptable to the City Attorney prior to
issuance of any building permit . "
NOW, THEREFORE , IT IS AGREED AS FOLLOWS :
l . Zelinsky covenants that he will , subject
to provisions of paragraph 2 herein , maintain in their present

natural state , all those areas designated as "utilized areas"
as shown on the "Fred Zelinsky ' s Master Plan and Total
Developable Area" , attached hereto as Exhibit "A" . Said Master
Plan drawing indicates three separate areas designated as
"utilized area" . Exhibit "B" ; attached hereto and incorporated
herein, is a complete description of the designated "utilized
area" immediately behind the Bank of America. Exhibit "C"
attached hereto and incorporated herein, is the complete
description of the "utilized area" immediately adjacent to
the Safeway. Exhibit "D" attached hereto and incorporated
herein, is a complete description of the designated "utilized
area" immediately adjacent to the Home Savings and Loan
proposed building site .
2 . It is agreed that the designated "utilized
areas" are presently not subject to further development by
virtue of the density limitations as established in the
downtown plan for the CITY OF TIBURON. Deletion of building
sites approved in the Zelinsky Master Plan, or acquisition
by Zelinsky of new undeveloped land or such other good cause
as the Tiburon City Council shall find, in the downtown area
shall serve as a basis for modification of Ordinance No.
187 N.S .
3 . Zelinsky covenants that all of the parking
shown on the aforementioned Master Plan as it pertains to the
building sites approved therein , to wit : Fred' s Landing,
Home Savings and Loan, office building, and Zelinsk,y home ,
shall be installed and provided free of charge for the users
of the building during business hours , and that no barrier shall

erected across the ingress or egress of any of these parking
areas, without prior express approval of the City Council of
the City of Tiburon .
4 . Zelinsky covenants that the parking spaces
shown in area number 5 of the "Fred Zelinsky ' s Master Plan
and Total Developable Area" , previously referred to, will be
installed at such time as the City Council so directs.
5 . Zelinsky warrants that those parking spaces
referred to above in reference to the building sites approved
in the Zelinsky' s Master Plan and in area number 5 of the
Master Plan, are not now, and will not be , subject to any
other covenant , restriction , use or contract �or use without
prior written consent of the Tiburon City Council .
6 . This Agreement shall be recorded.
7. This agreement shall run with the land,
and shall inure to and be binding upon the heirs , successors,
and assigns of the parties hereto .
