Gen�tlemen:
Hexan Dev�lopment Corporation, a California cor-
poration (Developer) is obligated to post security with you
in the sum of $271, 052� to secure and guarantee performance
of its obligations pursuant to Paragraph 6 of that certain
Subdivision Improvemen�t Agreement executed by it and dated
November .1, 1984, providing for the installation and com-
pletion of cer�tain designated public improvements wi�hin or
associa�ed with The Hexan Subdivision.
The undersigned is a Savings and Loan Association
subjec� to regulation by the State or Federal Government,
and does he�eby acknowledge, guara:n�ee and pledge to the
Town of Tiburon (Town) that the funds necessary to meet the
commi�tments and obligations of the Developer under the said
Subdivision Agreement in the amount of $271,052, are on
deposit and available and will reznain so �hrouqh the period
this instrument remains effectivea The undersigned further
pledge� and guarantees to immediately honor any draft or
demand of the Town ezcecuted by the Mayor or the Town Manager
and specifically mentioning this instrument, upon its pre-
sen�cation to us in accordance with the terms of this docu�
ment accompanied by a statement that Developer has not com-
pleted the work agreed to be performed by it pursuant to the
provisions of the said Subdivision Improvement .Agreement.
The provisions of California Government Code Sec-
tion 66499 through 66499. 10, inclusi�e, relative to improve-
ment security under tl�e Subdivision Map Act, are incorpo-
�ated herein by this reference as though set forth at length
and the parties shall be bound by and comply eaitl� the provi-
sions of �he Califorraia Government Cod�. It is agreed tk�at

in the event of litigation between the parties relating to
this document that the proper venue therefor is the Ma�in
County, California, Superior Court.
The undersigned hereby agrees that no change,
extension of time, alteration or addition to the terms of
the Subdivision Improvement Agreement or the work to be
performed thereunder or �he specifications accompanying the
same shall in any way affect its obligations �ereunder and
it does hereby waive notice of any such change, extension of
time, alt�ration or addition to the terms of the Agreement
or to the work or to the specifications.
In addition to the above amounts, the undersigned
does acknocaledge, quarantee and pledge to the Town that
funds in the amount of $27,105020 necessary to guarantee and
maintain the work and improvements for a period of one year
following acceptance by the Tocan, are on depos�.t and avail-
able and wi11 remain so throughout said maintenance peri-
od. We further pledge and guarantee to immediately honor
any demand of the Town for disbursement of said funds exe-
cuted by the Mayor or the Town Manager , as provided above,
�ccampanied by a sratement �hat �the Developer has failed to
anaintain said improvements as pro�vided pursuan� to the pro-
visions of the said Subdivisaion Improvemen�t Agreement.
The undersigned does acknowledge, guarantee and
pledge �to the Town that funds in the amount of $186 , 344e00
(included in the above-referenced sum of $271,052) necessary
to secure payment to the contractor , to the subcontractors,
and to the persons furnishing labor, materials, or equipment
for the work described in the �ubdivision Improvement Agree-
mer�t are on deposit and will remain so throughou� the period
this instrument �emains effectiveo We fur�her pledge and
guaran�ee to immediately honor any draft o� demand of the
Town executed by the Mayor or the Town Manager , as provided
above , accompanied by a sta�ement that said monies are
necessary to make payment to the contractor , to the subcon-
tractors , and to the persons furnishing labor, mafcerials or
equipmen� for the work described in said Subdi�ision Agree-
ment as a result of failure of Developer to make such pay-
ment for the work described in said Subdivisiono
It is further agreed that the anonies on deposit
pursuant herefco are a trust a�d no�c subject to offset by the

undersigned fi�ancial institution and no� subject to the
enforcement of a money judgment by any c�editors of the
Developer or the undersigned until the obligation secured
hereby is performed to the satisfaction of the Town,
The commitments and obligations of the undersigned
hereunder are absolute and irrevocable and shall remain so
until such time as the construction of improvements required
by the said Subdivision Improvement Agreement have been
completed and accepted. Except as ntherwise provided herein
for the guarantee and maintenance of the �ork following
acceptance, the unde�signed shall have no obligation to
disburse from said monies on deposit after ninety (g0) days
ha�e elapsed from the date said subdivision improvements are
accepted by the applicable approving authority.
Nothing contained herein shall be deemed to grant
the Town any rights to the funds refe�red to herein which
are in any way greater than the rights which Developer would
have had in such funds absen� this Agreement�
