THIS P,GREE�Ei�T is entered into between the CITY OF
TIBURON, a munic-ipal corporation (h�re.inafter called "City") ,
and SELVEDERE LAND COMPANY (hereinafter called "Belvedere") .
WHEREAS, Belvedere is the owner of two parcels of real
property referred to herein as parcel 1 and parcel 2, more
particularly described in Exhibits "A" and "B" , respectively,
attached hereto and made a part hereof; and
WHEREAS, Belvedere has filed with City a Master and a
Precise Plan for the cQnstruction of additional office space
on parcel l; and
WHEREAS, City has approved said Master and Precise Plans;
and
VdHEREAS, Belvedere desires to locate the required park-
ing spaces for said new construction on parcel 2; and
WHEREAS, Section 13 (B) of the Tiburon Zoning Ordinance
requires the recordation of this Agreement;
NOW, THE3ZEFORE, IT IS AGREED AS FOLLOT�+IS m
l. Selvedere covenants that it shall allow no use of
parcel 2 other than for the purpose of providing free parking
spaces to be used for the benefit of parcel l , so long as the
present and proposed improvements exist on parcel l.
2. The ti-cle to , and the right to the use of, parcel 2
is subservient to the title to parcel l.
3. Belvedere warrants that parcel 2 is not now, and

will not be, subject to any other covenant or contract for use
without the prior consent of City.

4. This Agreement shall be recorded by City.
5. This Agreement shall run with the land, and shall
inure to, and be binding upon, the heirs, successors and assigns
of the parties hereto.
