1964, by and between �tanley P, Berney, Eugene Yage�°, Eugene Mendelsohn
and Ge�°aldine Mendelsohn owne�s and subdividers of that certain subd.ivis�.on
to be knowxz as Porto Marino Estates hexea.nafter referred to as "Subdivid�r, "
and the City of Tiburon, a political subdivision of the State of Cali�ornia,
hereinafter referred to as "City";
WITNESSETH ;
WHEREAS, Subdividex, pursuant to City Ordinance No, 7 and amendxnen.ts
thereto, has presex�.ted to Caty an improvement plan autlining thexeon the i.m-
provexnen.�s to be constructed by 5ubdiv�a.der within the subdivisian. to be kn.nwn.
as Po�to Mar:ino Estates;and
Whereas, said improvements and any other improvemen�s required
by City Ordinance No. 7 and amendments thereto or by this agreement wi11
not lae completed before the £iling o£ the fina]. map of said subdiv�,s9.on; and
WHEREAS, City Ordinance No. 7 and amendments thereto requires
Subdivider to enter into an agxeement with City agreeing to have said work
corripleted within the time specified in said agreexnent;
NOW, 'THEREFORE, IT IS HEREBY AGREED by- and between the partie�

requii ed of him �o be cons�ructed City Ord:inance No. 7 and amendments
thereto wi�hin and for the benefit of Porto Marino Estates subdivision.
Said improvements shall include but are not nece s sarily limited to the
following; installing curbs, gutters and sidewalks, grading 5�r@Et5' pre-
paring subgrade, placin� pavement, installin� catch basins, laying drainage
pipe, staking lots, installing monuments, in�talling street signs, and
other incidental and related wox°k, Said improvements sha11 be constructed
in accordance with said impravemen.t plan comprising the following:
Improvement Flan, Porto Marino Estates, consisting of 5 sheets, as
prepared by Carlo� E, Gonzalez, Civi1 Engineers Inca , and recea.ved
1964 by the Marin County Department of Public Works.
In addition said improvements sha11 also be constructed in accordance
with Ca�ty Ordinance No. 7 and am�ndments thereto and in accordan.ce
with those certain specification� identified as " Specifications for the
Imp�°oveannent o£ Porto Marino Estates" dated September 12, 1964,
prepared by County of Marin for the City of Tiburon, The foregoing
plans and specifications are a.ncorporated hex°ein by reference and made a
part hereof, with the following exceptions, additions, and modifications:
SPECIAL NOTE:
a. W-21-R signs with scotchlight centers shall be installed on
the barricade at the we sterly en.d of Porto Marzno Dri ve,
b, Reports fram the Subdivider's soils engineer regarding
compaction te�ts9 pavement design, and o�her pertinent
reports ha�cring to do with this subdivisa.on shall be sub-
ma.�tted promptly upon their completion to the City Department
of Public Works and copies sen� to:the Subdivider's engi.neex
and to the contxactor pex£orming the work, Subdivid�r shall
ins�x°uct hi� sai�s en�a,neex to comply with the above-mentioned
requix�ements prior to construction of any work witha.n this
subd�va.sion, with copy of such a.nst�uctions to be forwarded to
C:i.ty Depar.tment of Public Works,
c, Special Provisions, paragraph 8 - Street Signs, are hereby
amended �o read as follows:
Stree� signs shall be placed at al1 intersections indicating
the n�.me of each street from each direction of travel at
said intersections. They sha11 be constructed and installed
in accordance with the latest revised County Departrnent o£
F'ublic Works detail sheet Fa.le No. D1-46 entitled "Standard
Details - Street Signs. "
do The above-mentioned specifications, Special Provisions -
Miscellaneous street improvements,shall be made in con-
formance with the.latest revised editions of drawings entitled
"Standard Details, " prepared by County Departrnent of Public
Works, �heet� 1. through 7, inclusive, Fi1e No, D1-46,
ee In addition to improverraents as shown on the plans above
referred to, subdivider sha11 provide street lighting subject
to the approval of the City Director of �'ublic Worksm
Where there is a conflact between the plans and specifica�ions, the more
strict requirements shal.l g:overn,
2, 5ubdivider hereby warrants that the plans and specifications
referred to herein are ixz accord.ance with the tentative map approval
and the master plan for said subdivision previou�ly appx°oved by the City
Plannin� Coxnmission and City Council together with a11 conditions
xnade a part of said approvalst Subdivider £urther warrants that said
plans and specifa.cations are adequate to accomplish the ir�provement work
covered by this agreemen� in a good, workmanlike manner, and in accord-
ance with accepted construction practices. ahould said plans and
specificatians at any tirne prior to £inal acceptance of improvem�nts
referred to herein pro�re to be inadequate in any x°espect, then Subdivider
does agree to make such changes as are necessary to accomplish said work
in a good, workmanlike manner and in accordance with accepted construc-
tion practices.
3. Upon final compl,etionof al1 of said work in accordance with
thi.s agreement the City Director of Pu�blic Works sha11 noti£y Subdivi-
der in writing of his acknowledgment of completa.on of the �ame. Sub-
divider agrees that for a period of one year fxom and after the date of
receipt of said written acknowledgment of completion of said work he
W�ii maintain a�.l of the impro�rements constructed under �he provisions
of this agreement, that he will repair any defects or failures which
xnay appear in said improverx�ents during said. one-year period, and that
he will further correct the cau5es af said defect5 or failures. Fro-
vaded that Subdivider has coxnplied with the terms of thi� agreement in
a11 re�pects, City shall, upon completion of said one-year period,
notify Subdiv9,der in wri�ing of its final acceptance of said improve-
mentse Neither the wxitten acknowledgxraen� of completion hereinabove re-
ferred to nor any periodic or progress inspection or approval shall bind
the City to accept said inprovements or to waive any defect in the
same or any breach af this agreement, Acceptan.ce of any part or any
staoe of said inprovernent work sha11 n.ot be final until the written
notice of final acceptance of all of the i'rnprovements sha11 have been
delivered to Subda.va.der as required herein,
4, Al1 inspection services rende�ed in connection with the work
covered by this ag�eement sha11 be paid for by Su�divider at the actual
cost to City as required by City Ordinance No. 7 and amendments theretoo
5. Should the �ubdivider fail to construct the improvements within
the time specified in paragraph 1 above, Subdivider sha11 ixnmediately
discontinue al1 work under this agreement. In such event, Ca.ty may
immediately proceed to complete the improvements by con.tract or other-
wise, and recover �he co5t thereof from the Subdivider.
6. Subd�.vider sha1�1, upon execution of this agreement, deposit
with City cash in the sum of $53, 000. 00 or a satisfactory cor-
porate surety bond in said amount to secure faithful performance of this
agreement and every part thereo£ by Subdivider, Any addition, alterations,
or modifications to this agreement or to the plans and speca.fications
referred to �„ereina including any extension of time within which the
work hereunder may be completeda sha11 not relea5e or exonerate any
surety or sureties on the bond given in connec�io�n with this contract.
?. Should City be required to instatute 1ega1 action to compel
performance af this agreement, Subdivider agrees to pay all reasonable
attorneys' fees, costs of �uit, and a11 other expen.ses of litigation
incurred by City in connection therewith.
8o C:ity sha11 not be responsible (other than in the capacity as
trustee-agent for Subdiv:ider in conduc� of spec�al assessxnent proceedzngs
initiated or to be initiated by Subdivider) for any of the cost of said

improvement or for the performance or non-performance of the work of
constructio.n of said improvexnents, and the Subdivider sha11 hold City
free and harmless from any claixn or liability resurlting from ar arising
out of the same.
9. 5ubdivider sha11 ha�re sole responsibility for making al1 arrange-
ments and a�suming all expenses as may be required in connection with ihe
furnishing and installa.ng of U�ility �ervice faciliti.esm
