LEGAL SERVICES AGREEMENT
1. Identification of parties. This agreement, executed in duplicate with
each party receiving an executed original, is made between EPSTEIN LAW
FIRM, hereafter referred to as "the Firm," and TOWN OF TIBURON, an
incorporated California municipality, hereafter referred to as "the Town."
2. Legal services to be provided. The Town currently is in the process
of hiring a new Town Attorney. During this period of time that the Town is
interviewing and selecting its new Town Attorney, the Firm will serve as the
interim Town Attorney for the Town. The Town and the Firm agree that the Firm's
representation of the Town will conclude immediately upon the start date for the
new Town Attorney. During the period of this Agreement, the Firm will be
available to assist and advise the Town staff and elected and appointed officials,
on an as -needed basis at the request of the Town, with routine general legal
advice on day-to-day matters, and on any other legal matters as may be
requested (except as described in section 3 of this Agreement). In addition, the
Firm will attend meetings as necessary.
3. Legal Services to exclude any matters concerning City of
Belvedere. The Firm serves as City Attorney for the City of Belvedere, The Firm
will provide no advice or services whatsoever to the Town with regard to any
issue or matter that concerns or involves the City of Belvedere in any way. Such
matters will either (1) have to be delayed until the new Town Attorney begins; or
(2) if the matter cannot be delayed, the Town will need to secure alternative
counsel to represent it.

4. The Firm's fees. The Town will pay to the Firm the sum of $215.00
per hour for the Firm's legal services provided under this agreement. The Firm
will charge in increments of one tenth of an hour, rounded off for each particular
activity to the nearest one tenth of an hour. The Firm's legal services under this
Agreement may be provided by Robert F. Epstein, Megan Holt Acevedo, or Emily
Longfellow.
The Town acknowledges that the Firm has made no promises about the
total amount of the fees to be incurred by the Town under this agreement. All
checks are to be made payable to "EPSTEIN LAW FIRM." (TIN: 558-33-7322.)
5. Statements and payments. The Firm will send the Town monthly
statements indicating the Firm's fees and costs incurred and their basis, and any
current balance owed. The Town agrees to pay any balance in full within 30
days after the statement is mailed.
6. Discharge or withdrawal of the Firm. The Town may discharge the
Firm at any time by written notice effective when received by the Firm. Unless
specifically agreed by the Firm and the Town, the Firm will provide no further
services on the Town's behalf after receipt of such notice.
The Firm may withdraw at any time as permitted under the Rules of
Professional Conduct. Notwithstanding the Firm's withdrawal, the Town will
remain obligated to pay the Firm at the agreed rate for all services provided.
7. Entire agreement. This agreement contains the entire agreement
between the parties. No other agreement, statement, or promise made on or
before the effective date of this agreement will be binding on the parties.
