RESOLUTION APPROVING FORM OF INDENTURE
OF LIMITED OBLIGATION IMPROVEMENT BONDS
LINDA VISTA UNDERGROUNDING ASSESSMENT DISTRICT NO. 1994-2
The Town Council of the Town of Tiburon resolves:
1. The Town Council hereby provides for the form,
execution and issuance of the Limited Obligation Improvement
Bonds in Linda Vista Undergrounding Assessment, District No.
1994-2, Town of Tiburon, Marin County, California (the "Bonds").
2. The form of Bond Indenture (the "Indenture") by
and between the Town of Tiburon and Everett A. Girtler and Betty
C. Girtler attached hereto and the issuance and sale of the Bonds
in Linda Vista Undergrounding Assessment District No. 1994-2 in

accordance therewith are hereby approved. The Town Manager or
his designee is authorized to execute the Indenture on behalf of

the Town of Tiburon in sUbstantially the form attached hereto,
with such changes as shall be approved by the Town Manager or his
designee after consultation with Bond Counsel. The signature of
the Town Manager or his designee on the final Indenture shall be
conclusive evidence of the approval, by the Town Council of the
Town of Tiburon, of the final Indenture.
3. The officers of the Town of Tiburon are hereby
authorized and directed, jointly and severally, to do any and all
things and to execute and deliver any and all documents and
contracts which they may deem necessary or advisable in order to
consummate the sale, execution and delivery of the Bonds and
~, otherwise to carry out, give effect to and comply with the terms

and intent of the Indenture and the Bonds; and any such actions

I heretofore taken by such officers in connection therewith are
hereby ratified, confirmed and approved.
4. The Town Council hereby designates the Bonds as
"Qualified Tax-Exempt Obligations" pursuant to section
265(b) (3) (B) (i) (III) of the Internal Revenue Code of 1986, as
amended. This Council also hereby states that this issue
qualifies for relief from the rebate requirements ~f the Internal
Revenue Code under section 148(f) (4) (C) of that Code.

Council of the Town of Tiburon on the 15th day of May, 1996, by
the following vote:
