AGREEMENT FOR PROFESSIONAL SERVICES
EXECUTIVE RECRUITER SERVICES
THIS AGREEMENT, made and entered this 1 st day of March, 2006, by and between the TOWN
OF TIBURON, a political subdivision of the State of Cali fomi a, hereinafter called "Town," and
RALPH ANDERSEN & ASSOCIATES, hereinafter referred to as "Consultant,"
RECIT ALS
A. The Town's Town Manager has submitted his resignation. The Town desires to retain a
qualified and competent manager to fill this vacancy, with strong technical skills and
exceptional interpersonal and managerial abilities.
B. The Consultant has a long record of successfully recruiting candidates for local government
executive, including many City/Town Managers. Consultant has submitted a proposal,
dated February 27,2006, for recruiting a new Town Manager for the Town, as set forth in
Exhibit A, which is attached hereto and incorporated herein by reference. The parties wish
to contract for the provision of services as described in this Agreement.
AGREEMENT
1. Scope of Consultant Services. Consultant shall perform the services described in Exhibit A
("Services").
2. Compensation. Town agrees to pay Consultant $19,750 for professional services and up to
$8,000 for expenses, as set forth in Exhibit A. Consultant's total compensation for the
Services shall not exceed $27,750, without prior Town approval of an amendment to this
agreement. The Consultant shall submit a monthly invoice for payment and Town shall
make payment within 30 days of receipt of invoice. Notwithstanding the foregoing, fifty
percent of the professional services fee ($9,875) shall be due and payable only upon
completion of the Services and shall not be invoiced before that time.
3. Standard of Work: Indemnitv. Consultant shall perform the services in a skillful and
professional manner compatible with the usual, customary standard of Consultant's
profession. Consultant shall indemnify, defend and hold Town harmless from and against
claims, liabilities, suits, loss, cost, expense and damages to the extent caused by a negligent
act or omission of Consultant's in the performance of the Services pursuant to this
Agreement.
4. Consultant as Independent Contractor. Consultant (including its agents and employees) is
not an agent or employee of the Town but is an independent contractor not subject to the
direction and control of the Town. Without limiting the foregoing, Consultant shall
maintain complete control of its operations and personnel and shall be solely liable and

responsible to pay all required salaries, wages, expenses, taxes and other obligations,
including, but not limited to, withholding and Social Security.
5. Attendance at Hearings. If requested by the Town Director of Administrative Services,
Consultant shall appear at Councilor other hearings that pertain to the Services.
6. Audit of Books and Records. Town may, in its sole discretion, undertake an independent
audit and/or evaluation of the Consultant's records and accounts of expenditures and
program activities at its own expense. Consultant shall furnish all items necessary in the
Town's discretion to complete said audit and/or evaluation subject to restrictions on
confidentiality limited to expenditure or receipt of program funds, and program quality.
7. Insurance. Consultant shall maintain insurance as set forth below. Town shall be added as
an additional insured to all required insurance policies. The limits set forth below are not
intended to operate as a limit to Consultant's liability under Sections 3 and 4 of this
Agreement.
A. Comprehensive General Liability: Combined single limit of $1,000,000 for each
single occurrence and $2,000,000 annual aggregate.
B. Comprehensive Automobile Liability: (1) For bodily injury, $100,000 per person
and $300,000 per accident; and (2) for damage to property, $50,000.
8. Ownership of Documents: Re-Use: Indemnity. For the purpose of this Agreement,
"Documents" shall include text copy, graphics, code, disks, diskettes, CDs, and other
written or electronic communications or data. All Documents, including drawings and
specifications prepared by Consultant pursuant to this Agreement shall be the property
of Town. Town acknowledges that said Documents are prepared for use only in
connection with the Project described in Exhibit A. Consultant makes no representation
that said Documents are suitable for re-use on any other proj ect or on any expansion of
the Project. Any such re-use by Town without specific written approval by Consultant
shall be at Town's sole risk. Town shall indemnify and hold Consultant harmless from
all claims, losses, damages and expenses, including attorneys fees, that may arise from
Town's unauthorized re-use of said Documents for another project or for any expansion
of the Project.
9. Stop Work Order. Town may at any time, by written notice to Consultant ("Stop Work
Order"), require Consultant to stop or suspend performance of the Services, in whole or in
part, for a period of up to ninety days after such notice is delivered to Consultant. Upon
receipt of the Stop Work Order, Consultant shall immediately comply therewith and take all
reasonable steps to minimize the incurrence of costs allocable to the Services covered by the
Stop Work Order during the period of work stoppage. Within ninety days of the delivery of
the Stop Work Order, or such later time as may be agreed to by the parties, Town shall
either cancel the Stop Work Order or terminate this Agreement as provided in Paragraph 13.
Consultant shall resume work upon the cancellation of the Stop Work Order. To the extent
that the Stop Work Order results in a documentable increase in the cost of performing the

Services or the time required for such performance, Consultant shall receive an equitable
adjustment in compensation or an extension of time for performance, as appropriate.
10. Delinquencv. In the event that a proper invoice remains unpaid for more than 45 days after
submittal, Consultant may commence to charge interest of the unpaid amounts at the lesser
of 1.50/0 per month or the maximum rate allowed under applicable usury laws. In addition,
Consultant may suspend the performance of the Services after giving Town 10 days notice
of its intent to do so. In the event of such suspension, the Base Fee shall be increased to
include Consultant's reasonable costs of suspending and restarting the Services.
11. Termination of Contract. It is expressly understood that either party shall have the right to
terminate this agreement within five (5) days written notice to the other party. In such
event, Consultant shall deliver to the Town copies of all finished and unfinished surveys,
studies, documents, computer disks, and/or reports pertaining to the contract, and
Consultant shall be entitled to receive just and equitable compensation equal to her hourly
rate of $60/hour for any satisfactory work completed as determined by the Town.
12. Discrimination. In the performance of the terms of this Agreement, Consultant shall not
engage in nor permit others he may employ to engage in discrimination in the employment
of such persons based on race, color, religion, sex, sexual preference, age, or handicapped
conditions.
13. Miscellaneous.
A. Other Contract Provisions. To the extent that there are any inconsistencies with
prior correspondence between the parties and the provisions of this Agreement, the
latter shall prevail.
B. Governing Law: venue. The laws of the State of California shall govern this
Agreement. In the event that a dispute arises under this agreement, Marin County
shall be the proper venue for any judicial resolution of said dispute.
C. Severability. If any provision of this Agreement is found to be invalid or
unenforceable, the validity and enforceability of the remaining portions shall not be
affected unless the effect thereof would materially change the economic burden on
either party.
D. Successors in Interest Assignment. This Agreement shall be binding on the assigns
and successors in interest to both parties. Neither party may assign their obligations
under this Agreement without the written consent of the other party.
E. Entire Agreement Amendment. This Agreement represents the entire Agreement
between the parties. This Agreement may only be amended in writing.

Ralph Andersen & Associates is pleased to submit this Proposal to conduct an executive search
for a new Town Manager for the Town of Tiburon We would be pleased to work with the Town
of Tiburon on this important assignment and look forward to further refinement of this work plan
to suit the Town's specific needs. We enjoyed our recent experience in the immediate area hav-
ing recently done work with Tiburon's neighbor -- the City of Belvedere. We recruited the cur-
rent City Manager (George Rodericks) that replaced long-tenured manager Ed San Diego and
also assisted on recent outreach done for the Director of Planning recruitment.

. Ms. Heather Renschler - Ms. Renschler has been with Ralph Andersen & Associates
for more than 20 years and is now the firm's Chief Executive Officer. Ms. Renschler has
overseen the recruitment practice of Ralph Andersen & Associates for the last eight years
and as a result, is often involved with recruitments on a national scale and those of a
highly sensitive and critical nature. Her involvement in recruitments is as the Project Di-
rector, many times at the specific request of public sector clients. She is experienced at

working with city councils, boards, staff members, and selection committees in the re-
cruitment and selection process. Her network of contacts and potential candidates is ex-
tensive not only within California but also on a national scale. Prior to joining Ralph An-
dersen & Associates, Ms. Renschler had private sector experience working with firms in
the areas of construction management, health care and public accounting. Ms. Renschler
attended the University of Toledo and majored in Accounting and Journalism. She ob-
tained her Bachelor's degree in public administration from the University of San Fran-
CISCO.
. Mr. J. Thomas Bacchetti, Senior Associate - Based in San Francisco, Mr. Bacchetti is
part of Ralph Andersen & Associates professional network and a Senior Associate, spe-
cializing in both search and consulting assignments. He has over 35 years of experience
in leading institutions in both the private and public sectors. He has served as Executive
Director of the Atlanta and Colorado Symphonies, the Tennessee Arts Commission and
the "Lively Arts at Stanford" University program. Before his association with Ralph An-
dersen & Associates, he most recently served as "Interim General Manager" of the Sunset
Community & Cultural Center in Carmel, California - facilitating the Center's transition
from public to private, nonprofit management. He then served as Acting Executive Direc-
tor of the private, nonprofit, Sunset Cultural Center, Inc., while he, in association with
Ralph Andersen & Associates, led the search for the Center's first Executive Director.
Mr. Bacchetti earned a Bachelor of Arts degree from Colgate University and did post-
graduate work at Stanford University.
. Mr. John Goss, Senior Associate - Mr. Goss is a former city manager of Alameda and
Chula Vista, General Services Director for the City of Oakland, and Assistant County
Administrator, San Bernardino County. With over 40 years of local government experi-
ence, he has experience in every facet of city government, and, in particular, facilities
maintenance management. Mr. Goss earned his Bachelor's degree from Bachelor of Arts
in Policy Economy from Fresno State and a Masters of Public Administration from the
University of Southern California.
. Paraprofessional and Support Staff based in the Sacramento Office will provide ad-
ministrative support to the Search Team on recruitment assignments. These staff are:

Project Timing and Cost
If retained by the Town, Ralph Andersen & Associates would complete the search within 60 to
75 days (or less) from the execution of the agreement between the Town of Tiburon and Ralph
Andersen & Associates. Negotiation with the top candidate will take an additional week or two
after finalist interviews.
The search effort for a new Town Manager will be conducted in California, with a focus North-
ern California and the Central Valley. The professional services fee to perform this search will be

a fixed fee of $19,750 for professional services. Expenses will not exceed $8,000. Expenses in-
clude such items as advertisements, travel, clerical, research, printing and binding, postage and
delivery, verifications and Internet and LexisINexis searches on the top three (3) candidates, and
long-distance telephone charges. Expenses will be billed based on actual incurred costs.
Total cost to the Town of Tiburon for both professional services and expenses will not exceed
$27,750 for a California based search. Ralph Andersen & Associates will bill the Town of Tibu-
ron monthly. Progress payments for professional services and expense reimbursement will be
due upon receipt. The Town will be responsible for all candidate expenses related to on-site in-
terviews.
Search Work Plan
This section describes the usual steps in the search for a new Town Manager for the Town of
Tiburon. The Search Team will be under the direction of Ms. Heather Renschler, Project Direc-
tor.
Task 1 - Review Project Management Approach
The key Search Consultant, Ms. Heather Renschler, will meet with the Mayor and Town Council
and others as appropriate to discuss the project management for the search. The discussion will
include a review of the work plan, confirmation of timing, and communication methods.
Task 2 ~ Develop Position Profile
The position profile for the Town Manager is the guide for the entire search process. Please refer
to the attached sample submitted with this ProposaL The development of the profile includes
the collection of technical information and recruitment criteria.
Technical Information
The Search Consultant, Ms. Renschler, will meet with the Mayor and Town Council to
gain an understanding of the experience and professional background requirements de-
sired in the Town Manager. These meetings will also help'the search consultant gain an
understanding of the work environment and the issues facing the Town ofTiburon.
Recruitment Criteria
The recruitment criteria are those personal and professional characteristics and experi-
ences desired in the Town Manager. The criteria should reflect the goals and priorities of
the Town of Tiburon. The search consultant will meet with key staff in the Town, and
others as appropriate, to facilitate the identification and articulation of that criteria.
Subsequent to the development and adoption of the candidate profile, the technical in-
formation and recruitment criteria will be documented in an information brochure pre-
pared by the search consultant. The brochure will be reviewed by the Mayor and Town
Council in draft format, revised as appropriate, and published for use throughout the
search.

Task 3 - Outreach and Recruiting
This task is among the most important of the entire search. It is the focus of the activities of the
search consultant and includes specific outreach and recruiting activities briefly described below.
Outreach
An accelerated outreach and advertising campaign will be developed. It will include the
placement of ads in publications such as the International City/County Management As-
sociation (ICMA), Western City Magazine, Jobs Available, and other professional publi-
cations. Specific Internet sites related to government will be used, including Careers In
Government, as a method of extending the specific outreach in a short period of time.
Additionally, the advertisement and the full text of the position profile (the recruitment
brochure) will be placed on Ralph Andersen & Associates' home page on the World
Wide Web (Internet), which is accessed by a large number of qualified candidates. This
method of outreach to potential applicants provides a confidential source that is moni-
tored by many key level executives on an on-going basis.
Candidate Identification
Ralph Andersen & Associates will use their extensive contacts to focus the recruiting ef-
fort. In making these contacts, the Search Team will target those individuals who meet
the criteria set by the Mayor and Town Council. Each of the candidates identified through
the recruiting efforts will be sent an information brochure. Candidates will also be con-
tacted directly to discuss the position and to solicit their interest in being considered.
Both the outreach and recruiting activities will result in applications and resumes from in-
terested candidates. As they are received, resumes will be acknowledged and candidates
will be advised of the general timing of the search process. The following tasks involve
the actual selection process, once all resumes have been received.
Task 4 - Candidate Evaluation
This task will be conducted following the application closing date. It includes the following spe-
cific activities:
Screening
All of the applications will be carefully reviewed. Those that meet the recruitment criteria
and minimum qualifications will be identified and subject to a more detailed evaluation.
This evaluation will include consideration of such factors as professional experience, and
size and complexity of the candidate's current organization as compared to the candidate
profile.
Preliminary Reference Review
The Search Team will conduct preliminary reference reviews for those candidates identi-
fied as the most qualified as a result of the screening process. Direct contact will be made

with a limited number of references to learn more about the candidates' experience, past
performance, and management style.
Conduct Interviews
A member of the Search Team will conduct interviews with the top group of candidates
identified through the screening and preliminary reference review processes. The inter-
views are extensive and designed to gain additional information about the candidates' ex-
perience, management style, and "fit" with the recruitment criteria.
The screening portion of the candidate evaluation process typically reduces a field of ap-
plicants to approximately eight (8) to ten (10) individuals. Those individuals will be re-
viewed with the Mayor and Town Council prior to proceeding with the individual inter-
VIews.
Task 5 - Search Report
After completing Task 4, Ms. Renschler will meet with the Mayor and Town Council to review
the search report on the top candidates. The report divides all of the candidates into four groups
including 1) the top group of candidates that are recommended to be interviewed in-person by
the Mayor and Town Council; 2) a backup group to the first group~ 3) no further consideration
group; and 4) lacks minimum qualifications. The search report will include candidate resumes.
The results of preliminary reference reviews and interviews will be reviewed with the Mayor and
T own Council.
The results of the Search Report will be a confirmed group of finalist candidates (typically 4-6)
that the Mayor and Town Council will interview in-person.
Task 6 - Selection
The final selection process will vary depending upon the desires of the Mayor and Town Coun-
cil. The typical services provided by Ralph Andersen & Associates in the selection process are
described briefly below:
. The Project Director, Ms. Renschler, will coordinate the selection process for the finalist
group of candidates. This includes handling the logistical matters with candidates and
with the Town.
. The support staff of Ralph Andersen & Associates will prepare an interview booklet that
includes the resumes and candidate report (with interview comments, reference checks
and other relevant information about the candidates). In addition, the booklet will contain
suggested questions and areas for discussion based upon the recruitment criteria. Copies
of the interview booklet will be provided in advance of the candidate interviews.
. The Project Director, Ms. Renschler, will attend the interviews to assist the Town through
the selection process. This assistance will include an initial orientation, candidate intro-
ductions, and facilitation of discussion of candidates after all interviews have been com-
pleted.

. Verifications will be made on the top candidates and will include education verifications,
Department of Motor Vehicle check, wants and warrants, civil and criminal litigation
search and credit check. The results of these verifications will be discussed with the
Mayor and Town Council at the appropriate time.
. As needed, the Project Director is available to provide assistance to the Mayor and Town
Council in the final selection as may be desired. This assistance may include providing or
obtaining any additional information desired to assist in making the final selection deci-
sion.
Task 7 - Negotiation
Ms. Renschler, Project Director, will be available to assist the Town in negotiating a compensa-
tion package with the selected candidate. This may include recommendations on setting compen-
sation levels.
Additionally, Ralph Andersen & Associates will prepare a draft employment agreement and
work with the Town's Legal Counsel on the finalization of this document. As required by the

The City of Belvedere is located on the San Francisco Bay at the end of the Tiburon Peninsula, just north of ,
San Francisco. It is the smallest city in Marin County with a residential population of approximately 2,125.
Belvedere is a true "bedroom community" with few local businesses and approximately 1,000 single-family
residences and a limited number of multi-family dwelling units.
The town was originally laid out at the turn of the century and today continues to be graced with numerous

Incorporated in 1896, the City of Belvedere operates under the council-manager form of government as a
General Law with a five-member Council, elected to overlapping terms. The City government is made up of
four departments that provide a full range of services to its residents. The City of Belvedere's current City
Council Members are James Berg, Mayor; Barbara Morrison, Vice Mayor; Jerry Butler, Bruce Sams and
John Telischak.
The City Council appoints both the City Manager and the City Attorney who serve at the pleasure of the
Council. The current City Manager is Ed San Diego, who is retiring after twenty years of service to the City in
the position of City Manager.
The City of Belvedere has a strong financial position with a $2.9 million General Fund reserve. The City's
infrastructure is in excellent condition and the road system recently received an award for the "best roads" in
the Bay Area. The General Fund is expected to generate approximately $3.7 million in current year revenues
for Fiscal Year 2004-05. Currently, there are approximately 24 staff.
Through staff and contractual arrangements, the City delivers the following services to its citizens:
· Police Protection
· Fire Protection including Paramedic Services*;
· Wastewater Collection (citywide system) and Treatment/Disposal*;
· Street Maintenance, Traffic Engineering and Park Maintenance;
· Municipal Planning and Zoning;

The City of Belvedere has a very active and participatory citizenry as evidenced by the following commis-
sions, boards and partnerships with the neighboring community:
. Planning Commission - This body is comprised of Council appointed individuals who have some
professional background in architecture or design. The Commission reviews applications for design
and zoning conformity in accordance with the Belvedere Municipal Code.
. Belvedererriburon Joint Disaster Advisory Council - This Joint Disaster Council was created by
the two agencies as an advisory body to help both Belvedere and Tiburon to better prepare for and
respond to disasters that will eventually strike the peninsula.
. Belvedererriburon Joint Recreation Committee - This Committee was created as a Joint Powers
Authority (JPA) between the City of Belvedere and the Town of Tiburon 26 years ago and is responsible
for providing the residents of both communities with recreational programming.
. Belvederemburon Library Agency Board of Trustees (JPA) - This joint library agency, created in
1997, oversees the operation of the Library that serves both the City of Belvedere and the Town of
Tiburon. The Board of Trustees is comprised of three appointees from Belvedere, three from Tiburon
and one from the Reed School District. The mission of the Belvedere- Tiburon Library is to provide library
services that will encourage and support a literate, enlightened and cultured community.
. Historic Preservation Committee - This 7 -member Committee is a quasi-legislative body appointed
by the City Council to consider applications for historic preservation recognition and makes recommen-
dations to the Planning Commission and/or City Council regarding the granting of historic preservation
status.
. Parks and Open Space Committee - This 12-member Committee is comprised of residents who
have an interest in landscaping. It meets every two months to consider various projects that are proposed
on city-owned property, including the park areas, the playground, open space and median strips.
. Traffic Safety Committee - Comprised of the City Manager, the City Engineer, the Police Chief, the
Public Works Director, a member of the public, and one member of the City Council, this Committee
reviews and decides on all traffic control issues that arise from time-ta-time in the community.

The City has the following departments as shown on the organization chart below:
· General Administration - This department includes the City Attorney, Deputy City Attorney, Finance
Officer, and Deputy City Clerk/Assistant to the City Manager/Risk Manager.
· Planning Department - The Planning Department provides staff services to the City Council and
Planning Commission related to the implementation of the City General Plan. This Department over-
sees the development and implementation of planning and land use policies and regulations in Belve-
dere as well as analyzes applications for the development and use of property within the community.
· Building Department - The mission of the Building Department is to assure reasonable standards of
life and property safety and protection of the public welfare through compliance with all adopted codes
and regulations. Staff is available to assist residents and their design professionals with construction
project or maintenance questions.
· Public Works Department - The mission of the Department of Public Works is to maintain the City's
public infrastructure at a safe, efficient and dependable level of service. The Department oversees
engineering, management, and improvement of traffic safety, streets and lanes, storm drain and sewage
collection systems, buildings, parks and open-space.
· Public Safety Department - The mission of the Belvedere Police Department is to provide safety and
security through police services; enforce the laws in the interest of justice; cultivate a strong feeling of
community and promote a sense of compassion and concern for the quality of life of all citizens in the
City of Belvedere. Fire Protection is provided by the Tiburon Fire Protection District.
· Recreation Department (not shown on organization chart) . The Belvedere Tiburon Joint Recre-
ation Department provides quality recreational and educational programs that inspire and enrich the
lives of children and adults in the community while maintaining a self-supporting agency.

The City Manager's role is to effectively and efficiently implement the policies of the City Council and to
manage the day-to-day operations of the City. The City Manager operates under the direction of the City
Council and is responsible for all aspects of city operations. The position has become available due to the
retirement of Ed San Diego.
In addition, the City Manager coordinates interagency activities with the County of Marin, the special districts
with whom the City contracts for services, and with the other cities and towns in the County. In this inter-
agency role, the City Manager serves on the Marin County Solid Waste Management Authority, the Marin
Emergency Radio Authority, the countywide Animal Control Joint Powers Authority Oversight Committee and
the Marin Municipal Water District Fireflow Oversight Committee.
The City Manager's Office provides services which include administering and executing City Council
policy; presenting recommendations; responding promptly to inquiries and requests from citizens; dissemi-
nating information regarding City activities; providing input on regional, State and Federal issues; conduct-
ing audits, studies of fiscal procedures and transactions, maintaining a sound fiscal position for the City,
preparation of the annual budget and continuous monitoring of the City's financial condition.
Working through City's planning and public works staff, the City Manager will have direct oversight and
involvement in the support of existing procedures and policies in accordance with the City's General Plan.
Additionally, three key areas of concern for the community involve (a) design review; (b) zoning issues; and
(c) timing of construction and major modifications made to private residences. Construction related issues
center around limited access and tight constraints on the island due to winding and narrow roads and
concern about disruption caused to neighbors living in this serene and desirable setting.

The City Council of Belvedere will offer the new City Manager a competitive salary based on experience and
qualifications including an automobile allowance and comprehensive employment package with a full
range of benefits. The City offers PERS Retirement (2% @ 55) and pays both the City's and the Employee's
share of PERS. The City does not participate in Social Security except for the mandated Medicare portion.
Candidates should be aware that the current City Manager has an annual compensation level of approxi-

Experience . The City Council of Belvedere desires an individual with a proven track record of success
preferably in local government or other comparable areas of public service. The ideal candidate will have
varied leadership experience with an organization that has prepared the individual to assume a key role with
a progressive and forward-looking organization.
All qualified candidates will be given serious consideration if they possess executive-level skills and experi-
ence gained through a successful career with another municipality or public sector organization. Depart-
ment heads or assistant/deputy city managers are encouraged to consider this career opportunity. Minimum
qualifications include five to eight years of experience in a leadership role. Candidates possessing experi-
ence with a private or other type of government organization combined with prior municipal experience may
also be considered.
The Search Committee and the City Council, working in concert with Ralph Andersen & Associates, reserve

Education. A Bachelor's degree in public administration, business administration, or a related field is
required. A Master's degree will be considered a plus.
