THIS AGREEMENT made and entered into this the twentieth day of November
2003, between the Town of Tiburon hereinafter referred to as the "Sponsor" and
the Marin Conservation Corps, hereinafter referred to as "MCC";
WITNESSETH
In consideration of the mutual promises and covenants hereinafter contained, the
Parties hereto agree as follows:
1. MCC agrees to provide services to Sponsor as specified in the Scope of Work,
attached hereto and incorporated herein, in return for which services the Sponsor
agrees to pay MCC time and materials as specified in the Scope of Work. Invoices
will be submitted on a monthly basis or upon completion of work. Invoices unpaid
after 30 days will be charged 1 1/2% interest monthly.
2. The Parties hereto hereby agree that MCC is an independent contractor and
neither it nor any of its employees as contemplated hereunder shall be deemed for
purposes of this Agreement, or for any purpose, as employees of the Sponsor.
3. The Sponsor and MCC agree that MCC is solely responsible for the recruiting,
training, and supervision of its employees in the manner in which they perform the
project. The crew working on the Sponsor lands will be directly supervised by the
MCC through its Site Supervisors, Field Operations Coordinator, and Executive
Director.

4. MCC agrees to indenmify, defend, and hold harmless the Sponsor, their
agents, officers, and employees, from all claims, liability, damages, suits,
losses, costs, or expenses in law and equity (including costs of suit and
expenses for legal services) arising out of bodily injury to or death of any
person or damage to any property resulting from the operation of MCC or any
of its employees under this agreement.
In connection, and without limitation to the foregoing, MCC maintains on
behalf of itself insurance for liability during the term of this agreement
in the amount of One Million Dollars ($1,000,000.00) bodily injury and
property damage combined single limit. MCC will add Sponsor as an
additional insured to said insurance and will furnish an endorsement and
certificate documenting such coverage and addition.
5. MCC further agrees to obtain and maintain in full force and effect during the
term of this agreement Worker's Compensation Insurance as is required by law
and will furnish proof of said coverage to Sponsor if requested to do so.
IN WITNESS WHEREOF, the Parties have set their hands the day and year first
written above.

Greenwood Beach Revegetation Project
Scope of Work:
As directed by TPW, the Marin Conservation Corps will supply a supervised crew of Corpsmembers to work on the
following tasks at Greenwood Beach as identified within 'Planting Plan':

Manually pull broom and cut all other annual non-native vegetation within project area.
All pulled/cut vegetation raked and disposed off-site.
Purchase and plant-out, per plan, (710) plants as specified within 'Planting Plan.'
Purchase and install temporary drip irrigation system* for all one gallon plantings.
Spread mulch, supplied by TPW, over all one-gallon plantings.
*
Trench across existing road to project area and sleeve for temporary irrigation tubing provided by
TPW.
Fiscal Display:
Charges are based on a labor rates, as wel"! as any required materials and equipment expenses as needed.
Supervisor - $36.75/hour, Corpsmember - $18.90/hour. Labor for typical crew of (10) Corpsmembers and (1)
Supervisor is $1,806.00/day. Extra vehicle for plant delivery - $75.00/day. Billing includes travel time to and from
the MCC Center. All materials billed at cost plus 10% handling

Total Estimate:
$8,554.38
Labor, materials and services will be provided until total costs equal Eight Thousand Five Hundred and Fifty-
Four Dollars and Thirty-Eight Cents or the scope of work is completed, whichever comes first. Actual daily costs
may vary due to attendance.
