"Scheduled" transportation is defined as pick-up / delivery service between the hours of 8:30am and 5:00pm that is within the structure of an existing Iron Mountain route and is no further than 30 miles one-way (defined as Service Territorv) from the servicing Iron Mountain branch. This charge does not cover dedicated runs or customized runs that require more than (1) Iron Mountain Service Representative. (ii.) "Same Location" transportation is only offered in conjunction with a "Scheduled" trip when the customer requires multiple service points (more than one account number or department) that are serviced at the same time and within the same building (different floor) or on the same corporate campus as the original "Scheduled" trip. (iii.) "Same Place" transportation is only offered in conjunction with a "Scheduled" trip when the customer requires multiple service points (more than one account number or department) that are serviced at the same time and on the same floor as the original "Scheduled" trip. (iv.) "Critical Special" is defined'as a high priority delivery that is guaranteeP to occur within 2 hours of the original customer phone notification for service location within the local branch's Service Territory as defined in section (i). (v.) "Standard Special" is defined as a priority delivery that is guaranteed to occur within 24 hours ofthe original customer phone notification for service location within the local branch's Service Territory as defined in section (i). Timing is based on client need. (vi.) "Out of Service Territory Premium" is a surcharge added to the "Scheduled" trip rate for each additional mile beyond the 60 mile round-trip (30 miles one-way) Service Territory of the Iron Mountain facility as defined in section (i). (vii.) "Holiday Premium" is a charge, in addition to the "Scheduled" trip rate, for service needed on all recognized Iron Mountain holidays. These include: New Year's Day, Martin Luther King Jr. Day, Presidents' Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day and Christmas Day. (viiii) Any single customer number that requires more than 20 minutes per pick-up / delivery to service on a regular, recurring basis is subject to additional charge which will be negotiated and added to the "Scheduled" trip rate, Media Mana2ement Notes: (i,) "Container and Transport Handling" is the movement of any container/transport or cart in or out of the Iron Mountain facility, These handling fees will be billed on a per item handled basis or as an hourly charge based on 30 containers/transports handled per hour. (ii.) "Individual Slotted Media Vaulting" - Individually managed media, billed in increments of20 slots, based on slot utilization, (iii.) "Individual Media Handling" is the movement of any individually managed media item in or out of the Iron Mountain facility. Individual handling fees will be billed on a per item handled basis or as an hourly charge based on 300/items handled per hour. Individual Media Handling is calculated on a per item basis and includes the verification (coming to and from the Iron Mountain facility) of each item against an electronic file or printed listing, Customer must provide, in a timely manner, file/documentation (picking distribution and inventory lists) in correct sequ.ence so media can be processed in the most timely and cost effective manner. (iv,) Container types not included in the Vaulting section on page 1 will be quoted on an individual basis. Proiect Man8f!ement Services: Hourly charge for services provided upon request or for services other than those associated with standard transactions listed on this Schedule A (i.e., media labeling, audits, etc.). This rate does not apply to Library Transition or Disaster Recovery Services. Library Transition and Disaster Recovery Services are quoted per event. Administrative Note: Administrative Fee is the monthly fee, per account, for the maintenance and supply of client-issued Authorization Cards, transmittals, standard reports and other administrative services associated with the management of each account. Media Care: Media Care services listed on page 2 includes up to six containers, with each container holding a maximum of seven items. Monthly fee does not include the cost of shipping using a third party carrier, Disaster recovery event or emergency return is shipped using Customer's third party carrier account number, Logistics - Not less than two days prior to the designated backup day, the Company will ship a Media Care package via courier, second day service to Customer location(s). Upon receipt, the Customer location(s) shall perform its backup, and return media containing such backup to the Company using an enclosed, pre-addressed overnight courier envelope, utilizing next day overnight Service. Backup Care: All exchanges must be made at the same place, date, and time to be eligible for discount pricing, Quantities listed are for tapes being picked up. Tapes being delivered/inserted are not counted. Temoorarv Transport Container Fees: The temporary use of transports is available upon request. Temporary transport usage will be charged at $1.00 each per day. Term-Renewal A2reement: The Term r:I~") of the Agreement, ~fwhich this Schedule A)~,,~J'art, will renew and take effect on: Apiilb2003 and contmue for: 2c(twiJ) year(s) ("Renewal Term"). Upon expiration of the current Renewal T enn, the Term will continue with automatic renewals for additional successive one (1) year terms, unless written notice of non- renewal is delivered by either party to the other not less than thirty (30) days prior to expiration date of the then current Term. Storage rates shall remain fixed for the first year of this Renewal Term and as of each amriversary of the renewal effective date thereafter, the Company will increase pricing for storage and services provided under this Agreement.
