ADJOURNMENT - To September 2, 1998 Regular Meeting TOWN OF TIBURON STAFF REpORT ITEM NO, / To: From: Subject: TOWN COUNCIL TOWN MANAGER STREET, SIDEWALK & DRAINAGE IMPROVEMENTS IN BEL AIRE BY MARIN COUNTY FLOOD CONTROL ZONE FOUR August 24, 1998 Date: BACKGROUND This Fall, the Town of Tiburon will undertake major street overlay work within the Bel Aire and other Tiburon neighborhoods_ As Bel Aire is located within the boundaries of Marin County Flood Control Zone Four, and to maximize the benefit to the community, the Flood Control Zone Four's Advisory Board has approved the installation of certain curb, gutter, sidewalk, and drainage improvements prior to the Town's street overlay project. The cost of these drainage improvements should not exceed $1,000,000, however, the project is currently out for bids, The bid opening is scheduled for August 28, and the award of contract scheduled for September 2, 1998_ The project should commence the week of September 7, and requires six to eight weeks to complete, The Reed Union School District and Bel Aire School have been notified of the work, and the contractor and Town Engineer will maintain communications with them concerning the project, The proposed Agreement between the Marin County Flood Control Zone Four and the Town ofTiburon is primarily for the purpose of 1) the Town agreeing to indemnity and hold harmless the District, and 2) the Town assuming maintenance responsibility for the street improvements upon completion of the project. RECOMMENDATION That the Town Council approve the proposed Agreement between Marin County Flood Control Zone Four and the Town ofTiburon, and authorize the Town Manager to execute such document for submittal to the Marin County Board of Supervisors at their regular August 25 meeting, RL. Kleinert R (j( EXHIBIT --Agreement with Exhibit A (project Specifications and Street Locations) AGREEMENT BETWEEN THE MARIN COUNTY FLOOD CONTROL AND WATER CONSERVATION DISTRICT AND THE TOWN OF TIBURON :~ ',""",,^ >- Y/kJ Y THIS AGREEMENT, made and entered into this day of , 1998, by and between the MARIN COUNTY FLOOD CONTROL AND WATER CONSERVATION DISTRICT, hereinafter referred to as "DISTRICT", and the TOWN OF TlBURON hereinafter referred to as "TOWN," WITNESSETH WHEREAS, Ihe TOWN intends 10 undertake a street repaving project in the Bel Aire neighborhood which is totally within the boundaries of Flood Control Zone Four, and WHEREAS, to obtain the best possible project it is advisable to replace the curb, gutter and si9\w;alk and upgrade the drainage structures at the same time as the repaving, and \.~ WHEREAS, the residents of Zone Four will directly benefit from the improved roadways and drainage facilities, and WHEREAS, the TOWN will undertake the project and retain maintenance responsibility for the completed project, NOW, THEREFORE, in consideration of the mutual promises as hereinafter contained, the parties hereto agree as follows: 1 The DISTRICT will grant to Ihe TOWN an amount nol to exceed One Million Dollars ($1,000,000), as a one time contribution for the replacement of curb, gutter and sidewalk and the upgrading of drainage structures in the 8el Aire neighborhood as described in Exhibit A attached hereto and by this reference incorporated herein. 2. Payments shall be made upon submission of invoices from the TOWN. 3. The parties hereto agree that the TOWN is an independent entity and neither it nor any of its employees, engineers or contractors as contemplated hereunder shall be deemed for purposes of this agreement, or for any purpose, as employees or the DISTRICT. 4. Upon completion, aU future maintenance, repairs, cleaning or other work required to the improvements, and the costs thereof, will be the responsibility of the TOWN. TOWN expressly agrees that the DISTRICT shall have no ownership interest, right or control, or maintenance responSibility ror the improvements. 5. The TOWN agrees to indemnify, defend and hold harmless the DISTRICT, its agents, oHicers, and employees, rrom all claims, alleged liability, damages, suits, losses, costs or expenses in law and equity (including costs of suit and expenses for legal services) arising out of bodily injury to or death or any person or damage to any property ailegedly resulting from the operations of TOWN or any of its employees or contractors under this agreement or in any way arising rrom the improvements constructed pursuant to this agreement, with the exception of claims, etc. arising from the sole negligence of the District.
