FIRST AMENDMENT TO
TOWN MANAGER'S EMPLOYMENT AGREEMENT
This AMENDMENT TO THE TOWN MANAGER'S EMPLOYMENT
AGREEMENT ("Amendment") is effective as of October 2, 2007, by and between The
Town of Tiburon ("Town") and Margaret A. Curran ("Employee").
RECIT ALS
A. The Town employs Employee as its Town Manager, pursuant to an
Employment Agreement effective October 2, 2006 ("Manager's Agreement").
B. The Town Council has conducted its first performance evaluation of
Employee as set forth in the Manager's Agreement and is well satisfied with Employee's
performance. The Council finds that the Employee has demonstrated management and
leadership skills that compare favorably to persons holding similar positions in similar
agenCIes.
C. The Town's policy is to offer compensation packages that are competitive
with similar employers for similar positions so as to maintain the highest quality staff to
serve the public. After completing the Manager's annual review, the Council has decided
to modify the Manager's Agreement and compensation as set forth in this Amendment
and Employee has agreed to such modification.
D. The Town Council also intends its employee compensation to retain
excellent employees and motivate continued good performance. Accordingly, the
Council has also decided to grant the Employee the one-time payment described herein.
NOW, THEREFORE, IN CONSIDERATION OF THE ABOVE RECITALS
AND OF THE MUTUAL PROMISES AND CONDITIONS OF THIS
AMENDMENT, IT IS AGREED AS FOLLOWS:
1. Base Salary. Section 4.1 of the Manager's Agreement shall be amended as
follows:
Employee's current base salary of$170,115 shall be increased by 2% to
One Hundred Seventy Three Thousand Five Hundred Seventeen dollars
($173,517) per year. Consistent with the Town's practice, this salary shall
be retroactive to October 2, 2007, the anniversary of Employee's hire date.
2. Vacation.. Sick and Administrative Leave. Section 4.3 of the Manager's
Agreement shall be amended as follows:
The Town wishes to give credit to Employee for her prior years of public
agency management, accordingly, commencing with the effective date of
this Amendment, Employee shall accrue vacation leave at the rate as set
forth in the Management Recognition and Incentive Compensation
Program for employees with 16 years or greater of service.
3. Automobile Allowance. Section 4.4 of the Manager's Agreement shall be
amended as follows:
Commensurate with other managers in Marin, Employee shall receive an
automobile allowance of Four Hundred dollars ($400) per month to
compensate Employee for the use of her personal vehicle on official Town
business.
4. Housine Allowance (Monthly Payments). Section 4.5(b) of the Manager's
Agreement shall be amended as follows:
As set forth in the Management Agreement, the Town Council believes
that the Employee's performance as Town Manager will be enhanced if
she resides in or near Tiburon. Accordingly, the Town will continue to
pay Employee Seven Hundred and Fifty dollars ($750) per month on the
condition that she maintain her primary residence within five miles of
Tiburon Town Hall at 1505 Tiburon Boulevard.
5. Cafeteria Medical Plan. Section 4.7 of the Manager's Agreement shall be
amended as follows:
The Town shall contribute the amount set forth in the Town's
Management Recognition and Incentive Compensation Program, as
adjusted from time to time, towards Employee's fringe benefit coverage.
6. One-Time Retention Allowance. Section 4.8 is hereby added to the Manager's
Agreement to read as follows:
To retain Employee and encourage her future continued excellent service,
Employee is granted a bonus consisting of a one-time cash contribution of
Seven Thousand Five Hundred dollars ($7,500) which shall be directed to
her 457 Deferred Compensation Account. The Town shall pay this
allowance within 15 days of this Amendment. The Council shall not be
obliged to grant similar allowances in the future.
7. Manaeer's Aereement Otherwise Unchaneed. Except as expressly modified
by this Amendment, the Manager's Agreement between the Town and Employee shall
remain in full force and effect.
IN WITNESS WHEREOF, this First Amendment to the Manager's Agreement shall be
effective as of the day and year written above.
