$175.00. The enclosed letter agreement reflects the correct rate.

RE: Fee Agreement for Negotiating and Preparing MVRS Franchise
Agreement
Dear Ms. Curran:
This letter agreement memorializes the terms and conditions under which
the Town of Tiburon ("Town") agrees to retain our firm in assisting the Town to
negotiate and prepare a new franchise agreement with Mill Valley Refuse
Service. Our firm bills attorney services at the rate of $165.00 per hour.
Our charges will include, but not necessarily be limited to, conferences, all
telephone calls, legal research, travel time, court or administrative agency
appearances, and drafting of documents and correspondence. There will be no
separate rate time charges for secretarial or clerical staff. However, the Town will
be charged $25.00 per hour for extra-ordinary word processing time. The Town
will be billed for paralegal services at the rate of $100.00 per hour, should any
paralegal services be rendered. The Town will be charged for all computer-
assisted research at the firm's cost. The Town will be charged three percent
(30/0) of the Town's monthly fee bill for photocopies done on the premises, long-
distance telephone calls and/or postage. Other expenses and costs may be
advanced by this office on the Town's behalf, including but not limited to
investigation and document retrieval fees, if required; these charges will be
separate from our hourly charge and will be charged against the Town as our
own fees and costs will be charged against the Town.
It is our firm's policy to return all the client's original documents and to keep
copies for our files. Following the termination of our representation, the contents
of the Town's file may be destroyed without review at the end of six years.

If the retention of our services under these terms is acceptable to you,
please sign the enclosed copy of this letter, returning it to me in the enclosed
envelope. Keep the original for the Town's files. By signing this agreement, you
are representing that you have authority to execute this document and that the
Town is bound by its terms.
This firm maintains errors and omissions insurance coverage applicable to
the services anticipated to be rendered to the Town in this matter.
The Town may be assured of the full commitment of our services and those
of our office to the Town's representation in this matter and of our best efforts to
achieve the most satisfactory disposition thereof.
