Dear Ms. Danforth,
The purpose of this letter is to confirm the services that VCOM Solutions will be
providing the Town of Tiburon under the attached Term Plan Agreement dated 4/23/02.
VCOM Solutions will provide long distance services for the Town of Tiburon. A
detailed description of the per minute outgoing rates is included in the Term Plan
Agreement.
Any additional services purchased by the Town of Tiburon will require a separate Term
Plan Agreement.

TERM PLAN AGREEMENT
This agreement is made and entered into between VCOM Solutions, Inc., a California corporation, with
corporate offices at 2682 Bishop Drive, Suite 107, San Ramon, California 94583 and Town of Tiburon,
1505 Tiburon Blvd., Tiburon, CA.94920 ("Customer") as of the date written below ("Effective Date"). IN
WITNESS WHEREOF, the duly authorized representatives of the parties hereto have caused this
agreement to be duly executed.
This Term Plan Agreement shall apply to all calls originating and/or terminating from USA to sites in USA
and international. This Term Plan Agreement will automatically renew at the end of each term date
unless the Customer cancels this term agreement in writing sixty days prior to the end of the term date.
Either party may terminate this agreement at any time if the performance of VCOM and its services does
not meet the expectations set forth by the Town of Tiburon. Average usage of this Term Plan Agreement
is determined by the average of billed usage for the second, third and fourth months invoice. Additionally,
Customer agrees to subscribe 90% of all lines and dedicated circuits (including toll free numbers) listed
on the letter of agency or services initially ordered by VCOM Solutions. If regulations change that cause
an increase in costs/rates, VCOM Solutions may increase costs/rates to Customer where applicable and
will notify the Customer in writing if the increase is more than five percent. An increase above five
percent will usually be experienced if there is an increase in the entire industry. Thus a new agreement
may be implemented relative to new market conditions. The monthly recurring fees and usage charges
shall be due and payable each monthly billing cycle for the agreed to contract term.
The Customer agrees to a 1 year(s) term commitment starting 4/23/02.
1. Long Distance term rates are subject to the terms and conditions of this agreement. VCOM Solutions
agrees to provide the Customer with the following per minute outgoing rates:

2. VCOM Solutions agrees to provide the Customer with the following costs associated with a dedicated
