Evidence of compliance with the insurance and endorsement r uirements of this Paragraph shall be subject to the approval of the Town Attorney. Ownership of Documents; Re-Use; Indemnity. Dupl}cate originals of all plans, studies, documents and other writings prepared for and by Consultant, her officers, employees and agents and subcontractors in the course of performing the Services shall be the property of Town and Town shall have the sole right to use such materials in its discretion without further compensation to Consultant or to any other party. Consultant shall, upon request, provide such materials to Town. Town acknowledges that the documents prepared pursuant to this Agreement are intended for use only in connection with the project described in Exhibit "A". Consultant makes no representation that said documents are suitable for re-use on any other project or on any expansion of the original project. Any such re-use by Town without specific written approval by Consultant shall be at Town's sole risk. Town shall indemnify and hold Consultant harmless from all claims, losses, damages and expenses, including attorneys fees, that may arise from 2 Town's unauthorized re-use of said documents for another project or for any expansion of the Project. 7. Interest of Consultant. Consultant covenants and represents that she does not have any economic interest and shall not acquire any economic interest, direct or indirect, in the area covered by this Agreement that would be affected in any manner or degree by the . • performance of the Services. Consultant further covenants and represents that in the performance of its duties, no person having any such interest shall perform any services under this Agreement. Consultant will comply with the Town's Conflict of Interest code. 8. Licenses. Consultant represents and warrants to Town that he has all licenses, permits, qualifications, insurance and approvals of whatsoever nature that are legally required of Consultant to practice her profession. Consultant represents and warrants to Town that she shall, at her sole cost and expense, keep in effect or obtain at all times during the term of this Agreement, any licenses, permits, insurance and approvals that are legally required of Consultant to practice his profession. 9. Termination of Contract. This Agreement may be terminated immediately by Town for cause or by either party without cause upon 10 days written notice of termination to the other party. In event of termination, Consultant shall deliver to the Town copies of all finished and unfinished studies, documents, computer disks, and/or reports pertaining to the Services. Consultant shall be entitled to receive just and equitable compensation for any satisfactory • work completed as determined by the Town. 10. Discrimination. In the performance of the terms of this Agreement, Consultant shall not engage in nor permit others she may employ to engage in discrimination in the employment of such persons based on race, color, religion, sex, sexual preference, age, or handicapped conditions. 11. Mediation. The parties will make a good faith attempt to resolve any disputes arising from this Agreement through mediation prior to initiating litigation. The parties shall mutually agree upon a mediator and shall share the costs of mediation equally. If the parties are unable to agree upon a mediator, the dispute shall be submitted to JAMS/ENDISPUTE ("JAMS") or its successor in interest. JAMS shall provide the parties with the names of five qualified mediators. Each party shall have the option to strike two of the five mediators selected by JAMS and the mediator thereafter remaining shall hear the dispute. 12. Miscellaneous. A. Other Contract Provisions. Other contract provisions are set forth in Exhibits "A," "B," and "C." To the extent that there are any inconsistencies with such Exhibits and the other portions of this Agreement, the latter shall prevail. B. Governing Law. This Agreement shall be governed by the laws of the State of California. 3 C. Severability. If any provision of this Agreement is found to be invalid or unenforceable, the validity and enforceability of the remaining portions shall not be affected unless the effect thereof would materially change the economic burden on either party. D. Successors in Interest; Assignment. This Agreement shall be binding on the assigns and successors in interest to both parties. Neither party may assign their obligations under this Agreement without the written consent of the other party. E. Entire Agreement; Amendment. This Agreement represents the entire Agreement between the parties. This Agreement may only be amended in writing. 13. Box 2223 Orinda, CA 94563 1505 TIBURON BOULEVARD • TIBURON • CALIFORNIA 94920 • (415) 435-7373 FAX (415) 435-2438 SUBJECT: REQUEST FOR PROPOSAL Preparation of an Interior Design Concept for the Lobby and Town Council Chambers of the Tiburon Town Hall 1505 Tiburon Boulevard, Tiburon Dear Nancy: The design project, although small in scope, is extremely important to our community and members of the Town staff who take pride in our new Town Hall. The Town Hall lobby must set the tone with the welcoming, friendly atmosphere and good service that the staff wishes to project to residents and visitors. BACKGROUND The Tiburon Town Hall was completed in May of 1997. While office furniture was not included in the basic cost of construction, additional funds were received from the community to furnish the office areas. The Town Hall lobby remains essentially unfurnished, with the exception of two small sofas and a utility table. The staff and the Heritage & Arts Commission has met and recommended the Town Council make available funds to hire an interior designer as a consultant to develop a design concept for the Town Hall Lobby and Council Chambers. DESCRIPTION OF THE PROJECT Lobby Design Design should focus on the following: ■ A colorful, inviting, user-friendly area designed to coordinate with on-going Heritage & ~ TTB TT Arts Commission wall and display case exhibits reflecting our town's history. The lobby design should tie in with the exterior design of the building. ■ A comfortable seating/waiting area with furniture that is moveable. ■ A glass and wood display case to be used in conjunction with displays of historic items ■ A rug or carpeting to reduce and absorb noise. ■ A work table and comfortable chairs for public use in reviewing records. ■ Lamps or lighting that create a welcoming atmosphere. ■ An area that is "child safe". ■ Easy cleaning and maintenance. Council Chambers Tasks will include: ■ Suggestions for a warm, welcoming color for possible repainting of the Council Chambers ■ List of muralists who might undertake the creation of a mural for the back wall of the Council Chambers ■ Development of a decor concept including wall displays, furniture layouts and accessories which would tie in with the lobby design. REQUIREMENTS FOR SUBMITTAL OF DESIGN PROPOSAL 1. A cover letter of transmittal should be submitted to: Donna Kline, Chair Tiburon Heritage & Arts Commission Tiburon Town Hall 1505 Tiburon Boulevard Tiburon, Ca 94920 The cover letter should be duly signed by a person empowered to commit the designer to the terms and conditions of the proposal. 2. Your attachments should include the following: a. A resume of the qualifications and experience of the consultant team. b. A list of recommended sources for purchase of the design elements suggested in the consultant's concept. SUMMARY The successful candidate will consult with the Tiburon Heritage & Arts Commission, as Council- appointed curators of the Town Hall Building, regarding the design. All proposals received will be reviewed by a panel composed of Town Staff and members of the Tiburon Heritage & Arts Commission. The selection of a designer will be based upon the aesthetic quality and utility of his or her submitted design as well as its adherence to the above-stated guidelines. If you are interested in providing the Tiburon Town Hall with a design concept for the lobby and Town Council Chambers based on the above criteria, please submit your proposal on or before Monday, May 29, 2000. I feel the decision should be made after discussion of various solutions. I find this to be a challenging project due to the lack of funds but feel there are many creative ways the job can be handled. Whether there is a one year or five year plan in place, each area is intertwined with the next. One decision will influence subsequent ones and that is where a designer is needed to coordinate the plan. I use the Desi8n Center in San Francisco for most items clients want to purchase. However in this situation I am of the opinion there should be an outreach into the community. Perttaps a deep tone of taupe, that would incorporate the outside color in doors, supply a neutral background for revolving art displays and make the large area appear smaller and cozy due to the little darker color. If carpet is used it would influence the color chosen. CARPET Avallable budget will be one of the deciding factors. Obviously, there are two solutions, either an area carpet or wall to wag installation, which could be problematic on top of a the floor. In either case a high quality commercial grade carpet should be selected, in either a solid or tweed pattem. Of course an Oriental area cast (perhaps donated) would be quite grand. An area carpet would supply a reasonable sound bearer to lobby noise and more than likely cover the contrast inlaid border of tile. It could create a restriction with a furniture arrangement, because more than likely, the furniture would be placed on the carpet. I would need to consult the codes on public places and handicap restrictions before: making a final suggestion. with wall to wall installation, the challenge is where to stop the carpet. There are some clear distinctions with the walls, where a straight line of carpet can start and stop. I would definitely need to look at a floor plan. DISPLAY CASE The size of a permanent display case, centered on the blank wall to the right of the main entrance would influence the size and placement of the furniture. As I suggested to Donna when we met, I would contact the Manager of the County Fair and ask if there might be some wooden display case treasure not in use any more and in storage, that could be donated. If so, such an item could be refinished and electrical lighting aided. One suggestion would be a refectory table, conference table or even a charming dining table with either windsor chairs (there were a couple to the right of the front door when I was there) or Captain's chairs around it. Creating an inviting feeling similar to that of a library and allowing a Place to spread maps or files out for review. A bench could be used on one side and chairs on the other three sides. Depending on the size of the table and remaining space available, a couple of extra chairs could be added fbr additional seating. 'there is the option to upholster the chair seats, which would add to the maintenance. The alternative would be to use upholstered chairs and a sofa or two. lighting can be added with the use of table lamps or overhead lighting depending on elecWcal plan and code.
