This is an Addendum to the Payphone/License A reement (the "Agreement') between Pacific Bell

In consideration of the promises and covenants contained in said Agreement and as set forth herein, the
parties, intending to be legally bound, agree to amend the Agreement as follows:
PAC will have the right to select, change the selection and contract with the local, IntraLATA
and InterLata carrier(s) for all payphones covered by this Agreement. PAC will also have the
right to restrict any or all of the said carrier selections.
PAC agrees to pay Customer commission as described in the attached InterLATA Commission
Schedule.
Except for the foregoing modifications, all of the terms and conditions of the A re ment remain in full
