IS AGREEMENT is made and entered into this oZ~ day of
19981 by and between the TOWN OF TIBURON~ a
mun cipal corporation, hereinafter referred to as "Town", and the County
of Marin , hereinafter referred to as-"Consultant".
WITNESSETH
In consideration of the mutual promises hereinafter contained,
the parties agree as follows:
1• SCOPE OF SERVICES. Town agrees to engage Consultant and
Consultant hereby agrees to perform generation of mailing label
services as set out in Exhibit A.
2. Consultant is qualified and desirous of performing the tasks
herein set forth and shall perform the services in a manner
compatible with the standard Consultant's profession.
3. COMPENSATION AND METHOD OF PAYMENT. In consideration of
Consultant's agreement to perform well and sufficiently and
in a skillful and professional manner the services
contemplated herein, the Town agrees to pay and Consultant
agrees to accept as full payment for the actual time spent in
accomplishing the approved work at the rate specified in
Exhibit A, upon submission of an invoice.
4. DIRECTION. All work is to be performed under the direction
of the Planning Director or his designee. Work substitutions
and additions may be made as needed.
5. CONSULTANT AS INDEPENDENT CONTRACTOR. It is specifically
understood and agreed that Consultant (its agent or employee)
is not an agent or employee of the Town, but is an independent
contractor not subject to the direction and control of the
Town except as to the final result. Consultant shall be
solely liable and responsible to pay all required taxes and
other obligations, including, but not limited to, withholding
and Social Security. Consultant agrees to indemnify and hold
the Town harmless from any such liability which it may incur
to the Federal or State Governments as a consequence of this
contract.

6. NONDISCRIMINATION. In the performance of this agreement,
Consultant shall not engage in nor permit others it may
employ to engage in discrimination in the employment of such
persons based on race, color, religion, nationality, sex,
sexual preference, age or handicapped conditions.
7. AMENDMENTS. This Agreement may be amended from time to time
and shall be mutually agreed upon by and between the
Consultant and the Town.
o, TERMS. The services of the Consultant shall commence upon
execution of this Agreement, and may be terminated at any
time, with or without cause, by either party upon 14 days
written notice to the other party. In such event, Consultant
shall provide to the.Town all unfinished work pertaining to
the Agreement, and Consultant shall be entitled to receive
just and equitable compensation for any satisfactory work
completed as determined by the Town.
IN WITNESS WHEREOF, The Town and Consultant have executed this
Agreement as of the date first above written.

EXHIBIT "A"
Scope of Services
The County of Marin (County) will develop a word processing document that will enable
the Town of Tiburon (Town) to generate mailing labels. The labels will be used to notify
property owners of development activities or improvements to public or private property
in their immediate area.. The document shall be processed on a Personal Computer,
utilizing Microsoft Word version 6.0, and delivered via the Internet.
The Town shall:
1. Provide County with a list of projects, which include:
1) the project name,
2) all parcel numbers within the project area,
3) planner's name who is responsible for the project, and
4) distance from the project that includes all properties which are to be

County shall:
1. Generate a list of property owners within a specified distance from a project.
2. Associate addresses with the property owners within a project.
3. Array the property owner and address information as tab delimited fields in a
Microsoft Word version 6.0 word processing document. Addresses shall be
grouped together by project, and projects shall be separated by five (5) blank lines
(the document will contain all projects the Town submitted as one request).
4. Post the document on the Internet at www.marin.org/planning. By "clicking" on
Town's document name, Town may download and save the file on its computer. If
the Town requests a hard copy or diskette of the file, County shall provide it for the
marginal cost of materials, postage and handling. County shall specify these costs
prior to providing the service.
The price for this service is $30.00 per hour. The Town shall pay County within ten
business days of receiving an invoice. County estimates that each project query will take
ten to twenty minutes depending upon the geographic coverage of the project. Single
parcel queries are likely to take less than ten minutes per project once the query process is
underway.
This Scope of Services shall be amended to reflect any changes in technology,
deliverables or specifications requested by either party.
