CONCRETE SLAB FOUNDATION
This Agreement between the TOWN OF TIBURON, a municipal corporation, 1505
Tiburon Boulevard, Tiburon, CA 94920, ("Owner"), and Maggiore & Ghilotti, 555 Dubois Street,
San Rafael, CA 94901 ("Contractor") is for the following Work:
Installation of a concrete slab foundation for the construction of public restrooms in Blackie's
Pasture, Tiburon, CA, as shown on the attached drawing, which is intended to be a part of this
Agreement. The price for this Work (the "Contract Sum") shall be calculated on a time and
materials per CALTRANS published rental rates for purchases, subcontracting and rentals, as
follows:
Contractor shall bill for time and materials as follows:
Carpenter: The lesser of $95 per hour or $760 per day (est. 3 days)
General Labor: The lesser of $55 per hour or $440 per day (est. 3 days)
20 Yards concrete
(12'x 20" x 30'): $1740
No more than $5340 shall be billed for the foregoing items.
If authorized by Owner's Superintendent of Public Works, Contractor will use a backhoe with
operator at $90 per hour, plus a $360 fee for transporting the backhoe to and from the Site.
Contractor shall be compensated for lumber and other materials not listed above at Contractor's
cost.
GENERAL NQTES
1. All work shall be in accordance with the Uniform Construction Standards of Marro
County.

2. Contractor shall furnish and install all materials and provide all labor required to perform
the Work..
3. Contractor shall comply with applicable federal, state and local law in its operations at the
site. During Construction, Contractor shall keep the area as clean and clear as possible and shall
minimize inconvenience to the public. After completion, Contractor shall remove from the site all
discarded materials, debris and spillage resulting from Contractor's Work.
4. Contractor shall notify the Town's Superintendent of Public Works two (2) working days
before starting the Work.
5. The Town will be performing work on the site related to the construction of the Blackie's
Pasture Restrooms with the Town's own forces and with other, separate contractors. The Town
will coordinate this work. All contractors on the site will be required to cooperate in completing
the project.
5. Contractor will be responsible for any damage to adjacent roads or property caused by his
activities and shall use suitable sized equipment to avoid such damage.
6. Contractor shall provide all lights, signs, barricades, flagmen and other devices necessary
to provide for public safety.
7. Payment shall be by the unit price indicated on the attached bid sheet and shall include
furnishing all labor, materials and equipment necessary to complete the Work.
8. Contractor shall furnish a certificate of insurance showing that Contractor has the
insurance required below and that the Town and its officials, employees and agents have been
added as named insured using a standard form endorsement.
8.1 Commercial General Liability Insurance (primary). Policy limits shall be no less
than one million dollars per occurrence for all coverages and two million dollars general aggregate.
Coverage shall apply on a primary, non-contributing basis in relation to any other insurance or
self-insurance, primary or excess, available to Town or any official, employee or agent of Town.
8.2 Business Auto. Limits shall be no less than one million dollars per accident. This
policy shall be scheduled as underlying insurance to any umbrella policy required above for a total
limit of no less than five million dollars each accident.

8.3 Workers' Compensation/Employer's Liability. Contractor shall provide workers'
compensation statutory benefits as required by law.
9. Contractor shall have 10 working days to complete the Work. Payment shall be due upon
completion.
10. Contractor is familiar and shall comply with the provisions of the California Labor Code
which are required by law to apply to this job (including those relating to prevailing wages).
11. If any dispute arises from this Agreement, the parties will attempt to resolve it through
mediation. If the parties are unable to resolve the dispute through mediation, the dispute shall be
decided by binding arbitration.. Unless the parties agree otherwise, arbitration shall be in
accordance with the Construction Industry Arbitration Rules of the American Arbitration
Association currently in effect.
This Agreement is dated July P 1998, and shall be effective immediately.
