Pursuant to Section 6.10 of the Second Amended and Restated
Disposition, Development and Loan Agreement dated as of October
1, 1995, (the "DDA") by and between the Tiburon Redevelopment
Agency, a public body corporate and politic (the "Agency") and
Cecilia Place Homes Limited Partnership, a California limited
partnership, as assignee, (the "Developer"), the Agency certifies
that the Developer has met its obligations under Article Six of
the DDA regarding the construction of improvements on the real
property described in Exhibit A attached to this Agreement. This
Certificate of Completion shall not constitute evidence of
compliance with or satisfaction of any obligation of the
Developer to any holder of a deed of trust securing money loaned
to finance the Development or any part thereof and shall not be
deemed either a notice of completion under the California Civil
Code or a certificate of occupancy.

DESCRIPTION
All that certain real property situate in the City of Tiburon,
County of Marin, State of California, and is described as follows:
Parcel A. as shown upon that certain Parcel Map entitled, "Map of Tiburon
Highlands, Town of Tiburon, Marin Co., State of California", filed for
record November 1, 1988 in Book 20 of Maps, at Page 50, Marin County
Records.
