RESOLUTION NO. ~
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF TlBttlON
CONSENTING TO TRANSFER OR ASSIGNMENT OF CORPORATE STOOl:
CONSTITUTING CONTROLLING INTEREST IN COMMUNITY ANTENNA
TELEVISION FRANCHISE HOLDER.
WHEREAS, Clear View Cable Systems, Inc., has heretofore been granted
a franchise for the operation of a community antenna television system in the
City of Tiburon; and
WHEREAS, Clear View Cable Systems, Inc., has advised the City of
Tiburon that it intends to sell all of its outstanding stock to Columbia Broad-
casting System, Inc.; and
WHEREAS, Section 9- 21 of the Code of the City of Tiburon, California,
prohibits a transfer or assignment of fifty per cent or more of the outstanding
stock unless and until the City Council of the City of Tiburon bas consented
thereto by resolution;
'WHEREAS, assurances have been received from Clear View Cable Systems.
Inc. by their letters of Mlrch 14 and 19, 1969 and by CBS-tv'li letter of
Mlrch 14, 1969 that prior commitments as to rates and extension of service
will be met;
NOW, THEREFORE, IT IS HEREBY RESOLVED AS FOLLOWS:
L 'lbe City Council of the City of Tiburon does hereby find and
determine that Columbia Broadcasting System, Inc., the proposed transferee of
said stock, is financially responsible.
2. '!he City Council of the City of Tiburon does hereby consent to
the transfer by Clear View Cable Systems, Inc. of all of its outstanding stock
to Columbia Broadcasting System, Inc., or to a wholly owned subsidiary thereof,
provided that within thirty days following the date of the consummation of
said reorganization, a certified copy of the reorganization agreement be filed
with the City Clerk
