HomeMy WebLinkAboutAgr 2010-03-22 (MMWD)Agreement This Agreement is entered into by and between the Marin Municipal Water District ("District") and the Town of Tiburon ("Town") (collectively the "Parties"). THE PARTIES AGREE AS FOLLOWS: Section 1. Recitals: This Agreement is based upon the following facts: a. On June 212009, a six inch water main ruptured in the public road owned and operated by the Town above 2120 Centro East Street in Tiburon, California. b. The public right of way and an adjacent embankment within said right of way is in need of repair. b. The District is willing to design and build a retaining wall, slope and improvements described in Exhibit A (collectively `Improvements") in the right of way adjacent to 2120 Centro East Street subject to the terms and conditions of this Agreement. c. In exchange for completion of the Improvements, the Town and the District agree as follows. Section 2. Terms a. The District agrees to design and install the Improvements described on Exhibit A, which is attached hereto and incorporated herein as if fully set forth. b. The Town agrees to release and waive any claim, demand, loss, proceeding, cause of action of any kind or character and expense, including attorneys' fees, investigative fees, expert fees and accounting fees that Town might have against the District, its officers, officials, agents, employees and attorneys (collectively, "Indemnitees") for property damage arising out of the June 21, 2009 District main break on Centro East in Tiburon and the design and construction of the Improvements described in Exhibit A. c. Upon completion of the Improvements, Town will assume responsibility for maintenance thereof. Thereafter, Town agrees to release, indemnify and hold harmless the Indemnitees from any and every claim, demand, loss, proceeding, cause of action of any kind or character and expense, including attorneys' fees, investigative fees, expert fees and accounting fees that might arise after project completion from the District's design and construction of the Improvements. d. It is understood and agreed that this settlement is the compromise of a doubtful and disputed claim, and that the payment made is not to be construed as an admission of liability on the part of the party or parties hereby released, and that said party denies MMWD/Town of Tiburon Indemnity Agreement Page 1 liability therefore and intend merely to avoid litigation and buy their peace. e. It is further understood and agreed that all rights under Section 1542 of the Civil Code of California and any similar law of any state or territory of the United States are hereby expressly waived. Said section read as follows: Section 1542. "Certain claims not affected by general release. A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which is known by him, must have materially affected his settlement with the debtor." f. If the Town desires to settle any Action identified in Section 2(c) of this Agreement, it shall first obtain the District's written consent to such a settlement, which consent shall not be unreasonably withheld. Section 4. Entire Agreement: This Agreement contains the entire agreement and understanding between the Parties hereto with respect to the matters referred to herein. Section 5. Binding Effect on Successors: This Agreement shall be binding upon the Parties hereto and, upon all of their lawful successors and assigns. Section 6. Section Headings: Section headings contained in this Agreement are for convenience and identification only and shall not be deemed to limit or define the contents of the sections to which they relate. Section 7. Governing Law: The laws of the State of California shall govern this Agreement. Section 8. Counterparts: This Agreement may be executed in any number of counterparts, each of which shall be an original, but all of which taken together, shall constitute one instrument. Section 9. Modification: This Agreement shall not be modified except by written agreement of all of the Parties. MMWD/Town of Tiburon Indemnity Agreement Page 2 Section 10. Facsimile Signatures: The Parties agree that this Agreement shall be considered signed when the signature of a party is delivered by facsimile transmission. Such facsimile signature shall be treated in all respects as having the same effect as an original signature. Section 11. No Presumption Re Drafter: The Parties acknowledge and agree that the terms and provisions of this Agreement have been negotiated and discussed between the Parties and their attorneys, and this Agreement reflects their mutual agreement regarding the same. Because of the nature of such negotiations and discussions, it would be inappropriate to deem any party to be the drafter of this Agreement, and therefore no presumption for or against validity or as to any interpretation hereof, based upon the identity of the drafter shall be applicable in interpreting or enforcing this Agreement.
