HomeMy WebLinkAboutAgr 1994-06-08 (Thrift Shop/RUSD/Town)SUBLE~.SE AND USE AGREEMENT BL I WEEN THE TOWN OF TIBURON, TIBURON THRIFT SHOP AND REED UNION SCHOOL DISTRICT THIS AGREEMENT is entered into this 8 th day of June 1994 by and between the TOWN OF TIBURON ("TIBURON" Sublessee), THE TIBURON THRIFT SHOP ("THRIFT SHOP" Sublessor), and REED UNION SCHOOL DISTRICT (RUSD). RECITALS: A. TIBURON is the owner of certain real property situated in the Town of Tiburon ("Town property") described on Exhibit "A', attached hereto and incorporated herein. B. Presently located upon this certain real property is a portable building which is currently owned by the Reed Union School District (RUSD) and leased to the THRIFT SHOP. C. THRIFT SHOP desires to sublease said portable building to TIBURON for Public meeting room purposes. NOW, THEREFORE, BE IT HEREBY AGREED that the parties enter into this Sublease and Use Agreement based upon the following covenants and conditions: 1. In consideration of the covenants and conditions contained herein, Thrift Shop (Sublessor) subleases the portable building to Tiburon (Sublessee) for one (1) year commencing July 1, 1994 and ending on June 30, 1995 for a rental of Two hundred fifty dollars ($250.00) per month payable on the first of each month to the Thrift Shop by Tiburon. 2. The portable building shall be used by Sublessee only for Town meetings and activities. 3. Sublessee shall keep in force during the term thereof of the sublease, at sublessee's expense, public liability insurance in limits not less than three hundred thousand dollars ($300,000) per person, and property damage insurance with limits of not less than fifty thousand dollars ($50,000). Sublessee shall cause Sublessor Shop and RUSD to be named as "additional insured" on all policies of insurance. 4. Sublessee shall bear the cost of all utilities serving the portable building, including but not limited to, electricity, gas, oil, water, telephone, sewerage and garbage. 5. Sublessee shall pay all costs of custodial service, including supplies for the building and property. 6. Sublessee shall pay all costs of normal up-keep on the building and the property, and, upon termination of the sublease, shall return the building and property to the Sublessor in the same condition, normal wear and tear 7. Sublessor h.lall have no obligation to pay for repairs and up-keep on the building or the property. 8. Any remodelling, painting, repairs or restoration of the portable building shall be done at the sole expense of the sublessee. Any such work done shall remain part of the building upon termination of the lease. 9. Sublessee shall waive and hold harmless and indemnify the Sublessor and the RUSD from any and all liability and expense on account of any suits, verdicts, judgements, cost of claims of any nature or kind arising, out of, or in any way connected with sublessee's obligations in the portable building. 10. This sublease shall be terminable, at the option of the Sublessor or Sublessee, upon giving sixty (60) days written notice to the other party. 11. Sublessee grants Sublessor the right to display Thrift Shop sale sign on the exterior side of the building one week each month during the term of the sublease. The rights granted to sublessee under this sublease shall not be assigned without written consent of the Sublessor and RUSD.
