HomeMy WebLinkAboutAgr 1993-07-13 (Industrial Employers and Distributors Association)AGREEMENT THIS AGREEMENT is between the TOWN OF TIBURON, a municipal corporation, hereinafter called the "Town," and IEDA, INC., a subsidiary of INDUSTRIAL EMPLOYERS AND DISTRIBUTORS ASSOCIATION. Recitals Pursuant to the provisions of the Meyers -Mi1ias-Brown Act (Government Code, Sections 3500 et seq), two organizations have been designated as the recognized employee organizations of the Town. The Town Manager of the Town or his designated representative has been designated as the Town's representative in employer-employee relations. The Town Manager is now and will be in the future engaged in meeting and conferring in good faith with representatives of such recognized employee organizations on matters relating to employment conditions and employer-employee relations. It is necessary and desirable that the Town obtain the services of qualified persons to consult with and advise the Town Council and the Town Manager in employer-employee relations, and to assist the Town Manager in meeting and conferring in good faith with representatives of the recognized employee organizations. IEDA, Inc. is qualified to provide such services to the Town. NOW, THEREFORE, in consideration of the mutual terms and conditions hereinafter set forth, the Town and IEDA, Inc. agree as follows: 1. SERVICES TO BE PROVIDED BY IEDA, Inc. IEDA, Inc. shall assign qualified persons to provide the following services to the Town: A. Advise and consult with the Town Council and the Town Manager of the Town at such times and places as may be mutually agreed upon by IEDA, Inc. and the Town Council or the Town Manager on all matters relating to employment conditions and employer-employee relations. B. Meet and confer in good faith for and on behalf of the Town, as the designated representative of the Town Council and the Town Manager, with representatives of the employee organizations of the Town at such times and places as may be mutually agreed upon by IEDA, Inc. and the Town Council and the Town Manager. C. Report to the Town Council and the Town Manager on the progress of meeting and conferring in good faith with each of the recognized employee organizations. D. Prepare written memoranda of understanding in a form and manner approved by the Town Council and the Town Manager. 2. PAYMENT A. The Town agrees to pay IEDA, Inc. and IEDA, Inc. agrees to accept in full and complete payment for all services rendered under this agreement the following amounts: $ 200.00/2 weeks June 15, 1993 - June 30, 1993 4,800.00/year July 1, 1993 - June 30, 1994 4,980.00/year July 1, 1994 - June 30, 1995 5,160.00/year July 1, 1995 - June 30, 1996 B. Payment of the fees in Item 2A shall be in accord with the following amounts and dates: $ 200.00 on July 1, 1993 2,400.00 each on July 1, 1993 and January 1, 1994 2,490.00 each on July 1, 1994 and January 1, 1995 2,580.00 each on July 1, 1995 and January 1, 1996. 3. TERM This agreement shall be effective June 15, 1993, and shall remain in effect until such time as either the Town or IEDA, Inc. may exercise the provisions of Item 4 below. 4. TERMINATION Either the Town or IEDA, Inc. may terminate this agreement at any time upon thirty (30) days' written notice to the other. In the event of such termination, IEDA, Inc. 's annual fee shall be prorated according to the number of whole months this agreement was in effect. AA.
